Co-Productions. Where it is established that a Production is a bona fide coproduction governed by an official co-production treaty between Canada and another country, the parties to this Agreement recognize that the application of this Agreement may be subject to the terms of the relevant international co- production treaty and agreement.

Co-Productions. No Grupo Televisa party (except only Videocine) shall co-produce any movie with a Pantelion Party. Videocine may co-produce movies anticipated to be Pantelion Movies with Pantelion Parties, or for the benefit of Pantelion, in each case, only pursuant to, and in accordance with, the following: (A) any co-production must include Videocine and one or more Co-Production Partners (i.e., unaffiliated with all of Grupo Televisa, Lionsgate and the Pantelion Parties), which shall not preclude the participation of other co-producers affiliated with Lionsgate and/or Pantelion Parties; (B) one or more of such Co-Production Partners must (1) provide a specific and significant contribution underlying such movie (examples of such specific and significant contributions include Scripts, the provision of multiple essential creative elements (e.g., several of key cast members, key artistic director, executive director and/or executive producer) having no affiliation with any of Grupo Televisa, Lionsgate or any Pantelion Parties, but shall not include financing or other contributions of a fungible nature; provided, that financing or other fungible contributions may be contributed in addition to such specific and significant contributions); and (2) meaningfully participate in, or exercise meaningful controls or approvals over, the development and production of such movie; provided, however, that in the case of a movie co-produced by and among Videocine, Lionsgate (or its Affiliates) and one or more other Co-Production Partners, the specific or significant contribution of the other Co-Production Partner(s) may consist of financing; and (C) Videocine, the applicable Pantelion Party(ies) and the applicable Co-Production Partner(s) shall provide to Licensee information and facilitate with Licensee a negotiation for Licensee to co-produce the applicable movie, on terms to be negotiated by the parties in good faith. If Licensee elects, in its sole discretion, not to co-produce the applicable movie, the applicable movie shall be deemed to be a Pantelion Movie hereunder and Licensee shall be licensed the Free Television Broadcast rights with respect to such Movie, as set forth in Section 3.5(c), and shall have a Right of First Opportunity / First Refusal to acquire Broadcast rights in other Licensed Media to such Pantelion Movie, as set forth in Section 3.5(d).
Co-Productions. Where it is established that a Motion Picture is a bona fide Co-Production governed by an official Co-Production Treaty between Canada and another country, the parties to this Agreement recognize that the application of this Article MB16.00 may be subject to the terms of the relevant international Co-Production Treaty and agreement. The parties recognize that where a Co-Production Treaty between Canada and another country or other countries imposes employment obligations on the Producer’s Production, the referral procedures may be subordinate to such obligations.
Co-Productions. 38.1 A Production shall be defined as a co-production when production costs and liabilities are substantially shared between the Employer and up to two (2) other Producer(s) (total of three (3)). 38.2 A co-production is not considered to be a touring production when presented in a co-producer's venue. When a co-production is presented in the co-producer(s) venue(s) the co-producer(s) may use their own Employees. 38.3 Where a co-production is co-produced or built by the Arts Club and moved to the first co-producer's venue, the Employer agrees to ensure that sufficient bargaining unit members are employed as are necessary to supervise the installation of the production in the co-producer's venue. If a co-production moves to a fourth co-producer's venue or a non co-producer's venue; such production as a result shall become a touring production, then the provisions of TOURING PRODUCTIONS shall apply.

Productions that are produced and financed jointly by two or more Employers (hereinafter referred to as the “Co-Producers” or the “Co-Employers”) to be presented in more than one venue shall be considered “Co-Productions.” The Co- Employers, through their designated “Lead Employer,” shall jointly engage the Designer for the Co-Production. All Employers, performance venues, and performance dates or tentative dates, must be made known to the Designer and specified in writing as part of the Cover Sheet and Rider (if any). A production designed for one venue or for a “Co-Production,” and subsequently performed at one or more venues not defined in the original Cover Sheet, shall be considered a Transfer as per the terms of Article XIV.
