Collateral Agent Removal Sample Clauses
The Collateral Agent Removal clause outlines the process by which the party serving as the collateral agent in a secured transaction can be replaced or removed. Typically, this clause specifies the circumstances under which removal is permitted, such as a majority vote of the secured parties or upon the agent's resignation, and details the procedure for appointing a successor agent to ensure continuity in managing the collateral. Its core practical function is to provide a clear mechanism for changing the collateral agent, thereby maintaining effective administration of the collateral and addressing situations where the current agent is unable or unwilling to continue in their role.
