Commission Agreement. (a) During the term of this Agreement, Distributor and Life Company shall pay to Broker-Dealer or Insurance Agent, as applicable, commissions and fees set forth in Schedule 1 to this Agreement. The payment of such commissions and fees shall be subject to the terms and conditions of this Agreement and those set forth on Schedule 1. Schedule 1, including the commissions and fees therein, may be amended at any time, in any manner, and without prior notice, by Distributor or Life Company. Any amendment to Schedule 1will be applicable to any Contract for which any application or Premium is received by the Service Center on or after the effective date of such amendment. However, Life Company reserves the right to amend such Schedule with respect to subsequent premiums and renewal commissions and the right to amend such Schedule pursuant to this subsection even after termination of this Agreement. Compensation with respect to any Contract shall be paid to Insurance Agent only for so long as Insurance Agent is the agent-of-record and maintains compliance with applicable state insurance laws and only while this Agreement is in effect.
(b) No compensation shall be payable, and Broker-Dealer and Insurance Agent agree to reimburse Distributor and Life Company for any compensation that may have been paid to Broker-Dealer, Insurance Agent or any Agents in any of the following situations: (i) Insurance Company, in its sole discretion, determines not to issue the Contract applied for; (ii) Insurance Company refunds the premiums upon the applicant's surrender or withdrawal pursuant to any "free-look" provision; (iii) Insurance Company refunds the premiums paid by applicant as a result of a complaint by applicant; (iv) Insurance Company determines that any person soliciting an application who is required to be licensed or any other person or entity receiving compensation for soliciting applications or premiums for the Contracts is not or was not duly licensed as an insurance agent; or (v) any other situation listed on Schedule 1.
(c) Agents shall have no interest in this Agreement or right to any commissions to be paid by Distributor or Life Company to Insurance Agent. Insurance Agent shall be solely responsible for the payment of any commission or consideration of any kind to Agents. Insurance Agent shall have no right to withhold or deduct any commission from any Premiums in respect of the Contract which it may collect unless and only to the extent that Life Company agree...
Commission Agreement. Xxxxxx shall execute the commission agreement attached hereto as Exhibit B.
Commission Agreement. Attached hereto as Exhibit D is a copy of the Commission Agreement (herein so called) executed between Landlord, as “Owner,” and Xxxxxx Commercial, as “Agent,” in connection with the Lease. The Commission Agreement shall remain in full force and effect, except that in connection with this Amendment (and this Amendment only) the compensation paid to Agent shall be as set forth on Exhibit E attached hereto. The Commission Agreement, as modified with respect to this Amendment only in the manner described on Exhibit E, shall be deemed included as a provision of this Lease in compliance with Section 62.022 of the Texas Property Code.
Commission Agreement. Landlord agrees to pay a commission to Landlord's Broker (identified in the Agency Disclosure paragraph above ) as follows: [ ] $_____________________ [X] 7.5% of the gross rent payable pursuant to the Lease. Any commission shall be earned upon occupancy of the Premises by Tenant, and paid one-half upon execution of the Lease and one-half upon occupancy of the Premises by Tenant. Landlord's Broker shall pay to Tenant's Broker (identified in the Agency Disclosure paragraph above) the amount stated in a separate agreement between them or, if there is no agreement, $____________________/____________________% (complete only one) of any commission paid to Landlord's Broker, within five (5) days after receipt by Landlord's Broker. If any other lease or sale is entered into between Landlord and Tenant pursuant to a right reserved to Tenant under the Lease, Landlord [ ] shall [X] shall not (shall not if not filled in) pay an additional commission according to any commission agreement or, in the absence of one, according to the commission schedule of Landlord's Broker in effect as of the execution of this Lease. Landlord's successor shall be obligated to pay any unpaid commissions upon any transfer of this Lease and any such transfer not release form liability to pay such commissions.
Commission Agreement. Each agreement for leasing commissions for the Leases or executed or amended by Seller after the Effective Date in compliance with the provisions of Section 8 of this Agreement. Confidentiality Agreement. That certain Confidentiality Agreement dated April 28, 2005 executed by Buyer in favor of Seller concerning the Property.
Commission Agreement. If Landlord has not entered into a listing agreement (or other compensation agreement with Landlord's Broker), Landlord agrees to pay a commission to Landlord's Broker (as identified in the Agency Disclosure paragraph above) as follows:
Commission Agreement. Shareholder shall have executed and delivered a commission agreement with Buyer (the "Commission Agreement"), the form of which is attached hereto as EXHIBIT E.
Commission Agreement. Within five Business Days after the date of this Agreement, ArchCo shall cause ArchCo Residential LLC to assign to the Company and the Company shall accept and assume the Commission Agreement (defined below). The assignment will contain representations by ArchCo Residential LLC that the Commission Agreement is in full force and effect, that ArchCo Residential LLC knows of no defaults under the Commission Agreement, and that all commissions due and payable under the Commission Agreement as of the date of the assignment have been paid. "Commission Agreement" means the Commission Agreement dated as of January 9, 2015 among ArchCo Residential LLC, Kxxxxxx X. Xxxxx, a licensed Florida Real Estate Broker, and RE/MAX Commercial Associates, LLC, a Florida limited liability company, with respect to Parcels B, C, D, E, G and H.
Commission Agreement. “The Parties” hereby irrevocably and unconditionally agree and guarantee to honor and respect all such fees and remuneration, arrangements made as part of a commission transaction even in the event that “The Parties” are not an integral member to a specific commission and fee, remuneration agreement. The parties acknowledge that details regarding commissions will be outlined in the Commission Agreement. The Agreement is attached and constitutes a fundamental component of this contract.
Commission Agreement. Conditioned upon the Closing, Seller shall pay to each of the Authorized Brokers identified in Section 2 of this Agreement a brokerage commission, as follows: (i) to CB Rxxxxxx Xxxxx, a commission equal to 0.75% of the Purchase Price; and (ii) to Millennium Office Management, Inc., a commission equal to 0.50% of the Purchase Price. No commission, fee or compensation of any kind will be paid to either of the Authorized Brokers if this sale is not consummated for any reason whatsoever.
