Commissioned Work. Specially ordered work.
Commissioned Work. As between Vendor and USAC, USAC will own all non-Software literary works or other works of authorship created pursuant to a Statement of Work and any requirements documents, personalized communication statements, interactive voice response and call center scripts, tapes of recorded service center calls, manuals, training materials and documentation that are created for the benefit of USAC during the course of this MSA (“Commissioned Work”). Vendor hereby irrevocably assigns, transfers and conveys, and will cause Subcontractors to assign, transfer and convey, to USAC, without further consideration, all of its and their right, title and interest in and to Commissioned Work. USAC hereby grants to Vendor, for the Contract Term and the Termination Assistance Period, a royalty-free, non-transferable, nonexclusive license to Use the Commissioned Work solely to perform the Services for USAC. Notwithstanding the foregoing, Vendor will retain ownership of all pre-existing Vendor Materials that are incorporated into the Commissioned Works. Vendor hereby grants to USAC a perpetual, irrevocable, non-exclusive, royalty-free, transferable, fully-paid-up, sub-licensable, worldwide license to Use any such pre-existing Vendor Materials that are a part of any Commissioned Work.
Commissioned Work. Work whose creation has been commissioned by a third party or initiated by the producer, and which is not destined to the retail or broadcast market (radio, television, cinema, DVDs or videocassettes before or after a recording intended for the public), but rather for the purpose of: • informing; • training a third party’s employees, the members of a professional corporation or students duly registered for a course; • presenting a technique for the use of a third party’s products or services; or • directly or indirectly promoting an organization or the use of its products and services. The work will be deemed an advertisement if distributed on the broadcast market (radio, television, movie theatre, or on a DVD or videocassette before or after a recording intended for the general public).
Commissioned Work. As between ACS and Customer, Customer will own all right, title and interest in and to Commissioned Work. Customer hereby grants to ACS, by way of present assignment , a perpetual, worldwide, royalty-free, non-exclusive license to use, access, practice, embody, implement, load, execute, store, transmit, display, copy, maintain, modify, enhance, create derivative works from, make and have made any and all Commissioned Works or any part thereof to the extent necessary for ACS to provide the Services to Customer.
Commissioned Work. The Gallery may negotiate on behalf of the Craftperson for the sale of work that has not yet been created. The terms of these negotiations are subject to the approval of the Craftperson. The purchaser shall pay a deposit of 50% upon ordering this work. The Craftperson shall ship the commissioned work to the store. The Gallery shall ensure that the purchaser receives the commissioned work and that final payment is made in full to the Gallery, at which time the amount of the sale will be entered into the monthly receipts and payment will made as outlined above. The Craftperson shall charge the same retail value for the same item whether selling directly to a customer or at the store. If the Craftperson knowingly sells any of her/his work directly to a purchaser who is buying the work because they saw an example of it for sale in the Gallery, the Craftperson shall pay the Gallery a commission of 10% of the selling price to the Gallery in recognition of the effort made by the Gallery to promote and sell the Craftperson’s work.
Commissioned Work. Neither Service Provider nor any of its Subcontractors (or any of its or their employees) shall have any ownership interest in any non-Software literary works or other works of authorship that may be created pursuant to or in connection with this Agreement, including any procedures manuals, specifications, product descriptions, knowledge bases, training materials and other items and any translations and derivative works thereof that are created or compiled for Customer ("Commissioned Work"), other than Service Provider's continuing rights in and to any Service Provider Materials that may be incorporated or embedded in such Commissioned Work. All Commissioned Works will be considered "works made for hire" or "commissioned works" owned by Customer and, to the extent that any such Commissioned Work may not constitute a "work made for hire" or "commissioned work" owned by Customer, Service Provider hereby irrevocably assigns, and agrees to assign, and will cause Subcontractors and its and their employees to assign, and agree to assign, to Customer without further consideration all of its and their right, title and interest in and to the Commissioned Work, and to cause its employees and those of its Subcontractors engaged in the preparation of the Commissioned Work to waive and agree not to assert any moral rights or reversionary rights excluding any pre-existing Service Provider Materials incorporated or embodied in such Commissioned Work. Service Provider grants to Customer a perpetual, irrevocable, paid-up, royalty-free, worldwide, non-exclusive, sub-licensable and transferable right to Use any such pre-existing Service Provider Materials as part of the Commissioned Work; provided, however, such license shall not extend to separating such pre-existing Service Provider Materials from the Commissioned Work to develop any stand alone product for marketing to third parties.
Commissioned Work. Artist agrees to create one or more recorded musical tracks as requested by Purchaser (the “Works”), subject to the commissioning process contained in Section 2, infra.
Commissioned Work. Contractor agrees that Commissioned work is "work made for hire" for copyright purposes; all copyrights and any other intellectual property rights in the Commissioned Work shall be owned by Premirus or Premirus’ Customer, if Premirus has contracted to provide “work made for hire.” As such, Contractor will promptly disclose to Premirus, in writing, any and all inventions, works of authorship, improvements, developments, or discoveries conceived, authored, made or reduced to practice by Contractor (including its employees and Subcontractors (as subsequently defined in this Agreement), if any), either solely or in collaboration with others, including Contractor’s personnel and Subcontractors (if any), in the course of and in connection with performing under a Work Order, or otherwise based upon confidential information of Premirus or Customers.
Commissioned Work. The Artist agrees to produce (s) for Valley Metro determined through consultation with the Artist, during a mutually agreed upon timeframe, , and as determined and agreed upon by all parties. The Artist consigns to Valley Metro the rights of reproduction of the aforementioned artwork(s), attached hereto and incorporated herein as Exhibit A. Exhibit A shall include image, title, year of completion, medium and dimensions as Inventory List. The Artist and Valley Metro agree that the promotional period for this Agreement shall be: The Artist agrees to allow Valley Metro to retain rights to the artwork indefinitely.
Commissioned Work a) The Council encourages the University to participate in work commissioned or otherwise funded by third parties. For all such work, the rates to be charged including those for staff and equipment use will be as agreed by the Council and the University.
b) For all commissions over £5,000 inclusive of VAT, the University shall not enter into any agreement with a third party which may affect any of the provisions of this agreement except with the prior consent of the Council.
c) For commissions under £5,000 inclusive of VAT and provided the University uses the agreed rates, the University shall be free to enter into such agreements with third parties.
d) The total value of commissions under £5,000 inclusive of VAT shall not within any financial year exceed 15% of the annual budget under this Agreement.
e) After additional expenditure has been allowed for all funds realised from these commissions will accrue to the Council. For commissions under £5,000 the Council would expect in normal circumstances to redeploy such funds to the benefit of the Facility. For commissions over £5,000 the Council will decide the level of redeployment but it would expect to do so in the best interests of the facility. The Council will hold the accrued funds by applying corresponding reductions in the quarterly payments specified.
f) All bids and commissions obtained will be notified to the Council's Programme Manager.
