Communication and Cooperation. (a) Consult and Cooperate. SpinCo, the Company and Parent shall consult and cooperate (and shall cause each other member of their respective Groups to consult and cooperate) fully at such time and to the extent reasonably requested by the other party in connection with all matters subject to this Agreement. Such cooperation shall include:
(i) the retention, and provision on reasonable request, of any and all information including all books, records, documentation or other information pertaining to Tax matters relating to the SpinCo Group, any necessary explanations of information, and access to personnel, until one year after the expiration of the applicable statute of limitation (giving effect to any extension, waiver, or mitigation thereof);
(ii) the execution of any document that may be necessary (including to give effect to Section 17) or helpful in connection with any required Tax Return or in connection with any Tax Proceeding; and
(iii) the use of the parties’ commercially reasonable efforts to obtain any documentation from a Governmental Authority or a third party that may be necessary or helpful in connection with the foregoing.
Communication and Cooperation. 5.1. The Parties, through the JMCB, shall exchange a list of contact points for the various technical aspects of this Annex. This list shall be maintained by the Technical Agents.
5.2. All communications between the Parties, including technical documentation provided for review or approval as detailed in this Annex, shall be in the English language.
5.3. When urgent or unusual situations develop, the Technical Agents', and where applicable the Aviation Authorities' contact points shall communicate and ensure that the appropriate immediate actions are taken.
Communication and Cooperation. The Parties acknowledge and agree that regular communication and continued cooperation are vital to the successful provision of high quality, uniform Emergency Services within the Town. To that end, each Party shall provide to the other Party agenda of all regular and special meetings and study sessions. Furthermore, the Parties agree to schedule a regular meeting of the Town’s Board of Trustees and the Fire District’s Board of Directors at least annually.

Communication and Cooperation. 1. The TCCA and the CAA commit to exchanging contact points for all aspects of this Arrangement including the Annexes. These contact points will oversee the effective implementation of this Arrangement and technical procedures referred to in the Annexes. The relevant contacts should meet regularly to discuss this Arrangement, its Annexes, procedures and/or any other relevant topic including whether any procedure, Annex or paragraph should be varied or modified. The frequency of these meetings will be discussed amongst the Participants’ contact points with a view to increasing or decreasing their frequency depending on circumstances at any relevant time. It is initially understood that the Participants will aim to meet with each other at least once per year.
2. All communications between the Participants, including technical documentation provided for review or approval as referred to in the Annexes will be in the English language.
3. When urgent or unforeseen situations develop, each Participants’ contacts will communicate with each other and ensure that the appropriate immediate actions are taken.
4. The designated offices for the technical coordination and implementation of this arrangement and its Annexes are listed in paragraph 13.
Communication and Cooperation. Client agrees to be available by cell phone at all times during the course of this Agreement. AdoptLink agrees to keep Client informed by e-mail, telephone, or text message when there is information to share, and promptly respond to Client’s inquiries. Client agrees to keep AdoptLink informed by telephone, text message, or e-mail when there is information to share, or at a minimum of once each month, and to promptly respond to AdoptLink’s inquiries and other communications. Client agrees to contact AdoptLink on an ongoing basis to provide and receive a status update, promptly inform AdoptLink of adoption planning developments, abide by this agreement, keep AdoptLink and the representing attorney(s) or other adoption professionals advised of their current contact information and whereabouts. Client further agrees to immediately inform AdoptLink of any changes including, but not limited to, address, telephone numbers, marital status, change in family structure, physical and/or emotional and mental health/and or condition, adoption objectives and/or requirements.
Communication and Cooperation. Seller and Buyer shall use commercially reasonable efforts to ensure that the conditions to Closing shall have been satisfied on or prior to June 30, 2000. Each party shall keep the other party fully informed of the status of satisfying its conditions to Closing. Each party shall promptly inform the other party if and to the extent the informing party does not reasonably expect to satisfy the conditions to Closing in a timely manner, or in any case, on or prior to June 30, 2000.
Communication and Cooperation. The parties shall communicate and ----------------------------- cooperate, in good faith, regarding any and all extensions of patent term for each ZGI Patent or NN Patent licensed pursuant to this Section 4.3.
Communication and Cooperation a. Clients understand that they may lose the opportunity to be introduced to a prospective Birthmother if Agency's staff is unable to contact them. Agency will take reasonable steps to contact Clients when there is information to share, and to respond promptly to Client inquiries.
b. Clients further agree to immediately inform Agency of any changes that might affect communication or the Clients’ ability to adopt including but not limited to changes in address, telephone numbers, marital status, physical and/or emotional health and/or condition, family profile, adoption objective and/or requirements.

CTI and ACX shall consult and cooperate (and shall cause each of their Affiliates to cooperate) fully at such time and to the extent reasonably requested by the other party in connection with all matters subject to this Agreement. Such cooperation shall include, without limitation,
(i) the retention and provision on reasonable request of any and all information including all books, records, documentation or other information, any necessary explanations of information, and access to personnel, until the expiration of the applicable statute of limitation (giving effect to any extension, waiver, or mitigation thereof),
(ii) the execution of any document that may be necessary or helpful in connection of any required Return or in connection with any audit, proceeding, suit or action, and
(iii) the use of the parties' best efforts to obtain any documentation from a governmental authority or a third party that may be necessary or helpful in connection with the foregoing.
