Company as Agent. Each Foreign Borrower, in addition to the appointment of the Company as the Borrowers’ agent as provided in Section 12.13 [Borrower Agent], further hereby irrevocably appoints the Company as its agent to receive the proceeds of any Loans made by the Lender to any such Foreign Borrower hereunder. The Administrative Agent shall be entitled to rely in such matters on all communications delivered by the Company as being delivered on behalf of the Foreign Borrowers.

Company as Agent. 20.1 If Company enters into the Contract in its capacity as agent on behalf of any Disclosed Principal as set out in the Contract or as otherwise notified to Contractor by Company: (a) Contractor must nevertheless deal only with Company in relation to the Contract; (b) Contractor acknowledges that, in the event Company enters into the Contract in its capacity as agent on behalf of Coventurers, the interests of the Coventurers may change from time to time without notice to Contractor; (c) the rights and remedies under the Contract may be exercised by Company for itself and for and on behalf of the Coventurers; (d) Contractor’s duties and obligations under the Contract are deemed to take effect for the benefit of Company and each of the Coventurers, and Company is authorized to enforce those duties and obligations on its own and the Coventurers’ behalf; and (e) Contractor may only enforce its rights and remedies in and under the Contract against Company (i) with respect to Company’s own interest; and (ii) as agent severally for each of the Coventurers. 20.2 Contractor must not without prior Approval communicate in any way directly or indirectly with any Coventurer or any governmental or semi-governmental authority or body in respect of any matter or thing relating directly or indirectly to the Contract (except to the extent required by any Applicable Laws).

Company as Agent. You hereby appoint Company as your exclusive agent for the term of this Agreement with the authority to act on your behalf for all purposes under this Agreement including, without limitation, communicating with any monitoring facility related to your System and Services.

Company as Agent. The Guarantor authorises and instructs the Borrower to sign, despatch and/or receive as its agent all documents and notices to be signed, dispatched and/or received by the Guarantor, and to take as its agent any other action necessary or desirable, under or in connection with the Finance Documents.

Company as Agent. (a) Each Obligor (other than the Company) by its execution of this Agreement or an Accession Letter irrevocably appoints the Company to act on its behalf as its agent in relation to the Finance Documents and irrevocably authorises the Company on its behalf to give all notices and instructions, to execute on its behalf any Accession Letter and to make such agreements capable of being given or made by any Obligor notwithstanding that they may affect such Obligor, without further reference to or the consent of such Obligor and such Obligor shall be bound thereby as though such Obligor itself had given such notices and instructions (including, without limitation, any Utilisation Requests) or executed or made such agreements. (b) Every act, omission, agreement, undertaking, settlement, waiver, notice or other communication given or made by the Company under this Agreement, or in connection with this Agreement, (whether or not known to any other Obligor and whether occurring before or after such other Obligor became an Obligor under this Agreement) shall be binding for all purposes on all other Obligors as if the other Obligors had expressly concurred with the same. In the event of any conflict between any notices or other communications of the Company and any other Obligor, those of the Company shall prevail.

Company as Agent. Each Borrower hereby irrevocably designates the Company to be its attorney and agent on its behalf for the purposes of (i) issuing any Notice of Borrowing, or Notice of Issuance or otherwise issuing any request for a credit extension, (ii) delivering certificates, (iii) giving instructions with respect to the disbursement of proceeds of any credit extension, (iv) selecting interest rate options, and (v) taking all other actions on behalf of such Borrower under the Loan Documents, except where the action of the relevant Borrower is required under the laws or customs of the jurisdiction in which such Borrower is existing. The Company hereby accepts such appointment. The Administrative Agent, the Issuing Banks, and the Lenders shall be entitled to rely upon, and shall be fully protected in relying upon, any notice or communication (including any Notice of Borrowing, or Notice of Issuance or other request for a credit extension) delivered by the Company on behalf of any Borrower. The Administrative Agent, Issuing Banks, and the Lenders may give any notice to, or communication with, a Borrower hereunder to the Company on behalf of such ▇▇▇▇▇▇▇▇. Each of the Administrative Agent, the Issuing Banks, and the Lenders shall have the right, in its discretion, to deal exclusively with the Company for any or all purposes under the Loan Documents. Each Borrower agrees that any notice, election, communication, representation, agreement or undertaking made on its behalf by the Company shall be binding upon and enforceable against it.

Company as Agent. The Company acts as the “agent” of the Customer for the purpose of performing duties in connection with the entry and release of goods, post entry services, the filing of security documentation on behalf of the Customer and other dealings with Government Agencies. As to all other services, Company acts as an independent contractor. Customer agrees that the version of these Terms and Conditions of Service in effect at the time of tender will apply to services provided by the Company. Except to the extent of any written agreement between Company and Customer, these Terms and Conditions of Service supersede any claimed, alleged or asserted oral agreement, promise, representation, or understanding between or among the parties with respect to the customs brokerage services provided by Company.

Company as Agent. The Company is hereby authorized to act as agent for all other Employers in dealings with the Trustee under the Plan.

Company as Agent. With respect to all of its relations with the Trustee, Plan Administrator and Appeal Committee for the purpose of this Plan, each Participating Company shall be deemed to have designated irrevocably the Company as its agent.
