Company Certification. On or before January 31, 2014, and on or before January 31 of each year thereafter through January 31, 2023, the Company shall certify to the City the number of Retained Jobs as of the end of each month as of December 31 each year beginning December 31, 2013, and thereafter through December 31, 2023. The Company hereby agrees the City shall have the right to audit and examine records of the Company in order to verify the employment information required by this Agreement furnished by the Company to the City.

Company Certification. The Company hereby certifies to the Successor Trustee and the Resigning Trustee that the Company and the officer of the Company who has executed this Instrument is duly authorized to (a) accept the Resigning Trustee’s resignation as trustee under each Indenture, (b) appoint the Successor Trustee as trustee under each Indenture and (c) execute and deliver such agreements and other instruments as may be necessary or desirable to effectuate the succession of the Successor Trustee as trustee under each Indenture. The Company further represents and warrants to the Successor Trustee and the Resigning Trustee that, to the extent necessary under Section 608 of the 1996 Indenture and Section 6.10 of the 1999 Indenture, the Company has obtained the requisite board resolution appointing the Successor Trustee and approving of the matters contained herein.
Company Certification. The Company shall deliver to Willxxxx:
(a) as part of the request for the subscription and disbursement under the Willxxxx Xxxscription a certification, substantially in the form of Exhibit 4.1(b) signed by the Chairman with respect to the matters referred to in Section 3.7 and the conditions specified in Section 5.1, expressed to be effective as of the date of the subscription and disbursement under the Willxxxx Xxxscription; and
(b) such evidence as Willxxxx xxxsonably requests of the proposed utilization of the proceeds of the subscription and disbursement under the Willxxxx Xxxscription.
Company Certification. Company certifies that it will obtain the Social Security Verification Services solely for the purpose of identity verification and in connection with a credit transaction or other circumstance described in Section 604 of the FCRA, and not to determine a consumer’s eligibility for credit, insurance, employment, or any other product or service and that Company will not use the verification service for any other purpose. Company certifies it will not use any Information in such a manner that causes the Information to be characterized as a “consumer report” as defined in the FCRA.
Company Certification. The Company hereby certifies and affirms that in connection with the incurrence of the [Loan[s]] and the granting of liens in connection therewith, it has complied in all respects with the applicable provisions of Section 3.8 of the Intercreditor Agreement.

Seller shall have caused the Company to deliver to Willxxxx xx part of the request for the subscription and disbursement under the Willxxxx Xxxscription a certification, substantially in the form of Exhibit 4.1(b) signed by the President of the Company with respect to the matters referred to in Section 3.8 and the conditions specified in Section 5.1, expressed to be effective as of the date of the subscription and disbursement under the Willxxxx Xxxscription; and such evidence as Willxxxx xxxsonably requests of the proposed utilization of the proceeds of the acquisition and payment for the Willxxxx Xxxchased Shares.
