Company representations and undertakings. The Company hereby represents and warrants to the Employee that this Agreement, prior to its execution by the Company, has been duly approved by its Board of Directors and the General Meeting of its Shareholders to the extent required to be a valid, binding and enforceable obligation of the Company. The Company hereby represents that at the time of entry into this Agreement the Employee shall have been duly elected as a member of the Board of Directors of the Company.
