Company’s Efforts. Company will use commercially reasonable efforts to develop, commercialize, market and sell Licensed Products in a manner consistent with the Development Plan.
Company’s Efforts. In addition to Company’s own efforts to develop, commercialize, market and sell Licensed Products, the efforts of other parties, including Affiliates, Third Party sublicensees, contractors, Third Parties funded by Company under a research or service agreement, and distributors, will also be deemed as efforts of Company.

Company’s Efforts. As a material condition to this Agreement, the Company shall use all commercially reasonable efforts during the Term to offer Yahoo! Korea to the general public via the Internet, in accordance with user performance (as measured by factors such as latency of user response) at least equivalent to, on average, that of the main U.S. xxx.xxxxx.xxx website, to market and promote the commercial exploitation of Yahoo! Korea in the Territory, and to sell advertising and promotional services in Yahoo! Korea.
Company’s Efforts. 2.3.1 A Development Committee (the “Committee”) shall be organized to monitor the clinical progress of the Licensed Products at the Company’s expense. The Committee will consist of independent scientific and technical thought leaders that are highly regarded by the scientific community in the Field of Use of each Licensed Product and at least one representative from the Licensor Parties and one representative from the Company. The Committee will be responsible for (i) making recommendations to the Company’s management relating to the pre-clinical and clinical development strategy; (ii) analysis and assessment of ongoing pre-clinical and clinical development of each Licensed Product; and (iii) assisting the Company to prepare pre-clinical and clinical development budgets. The actions and opinions of the Committee will be confidential. The Committee will meet at least Six (6) times per year. Said Committee shall first meet within Three (3) months of the Effective Date and include (a) one or more of the original inventors of the underlying Patent Rights, and (b) one or more individuals responsible for managing the commercial affairs of the Licensor Parties (collectively, the “Licensor Parties Appointees”). The Committee will continue to meet regularly with the Licensor Parties Appointees during the clinical trials.
Company’s Efforts. Company will use commercially reasonable efforts to develop, commercialize, market and sell Products and Services in the Territory in a manner consistent with the current Development Plan. Additionally, Company will cooperate with the University to fulfill any on-going reporting obligations that the University has to the United States government, including, without limitation, the DOE.
Company’s Efforts. The Company shall, at its expense, use its best reasonable best efforts (including, without limitation, the solicitation of proxies) to effect the election of the persons designated as provided in Section 1 above.
Company’s Efforts. Company will use commercially reasonable efforts to develop, commercialize, market and sell Licensed Products. Within sixty (60) days after the Effective Date and on each December 1 thereafter, Company must provide Penn with a written progress report, setting forth in reasonable detail the progress of the development, evaluation, testing and commercialization of each Licensed Product ("Developmental Progress Report"). Company shall also notify Penn within thirty (30) days of the first commercial Sale by the Company, an Affiliate, or any sublicensee of each Licensed Product. The Developmental Progress Report will include at a minimum the information listed in Exhibit C.
