Company’s Efforts. As a material condition to this Agreement, the Company shall use all commercially reasonable efforts during the Term to offer Yahoo! Repeated failure to achieve objectives in the Development Plan may be treated as a material breach of this Agreement and a cause for termination in accordance with Section 6.2.
