Compensation and Other Remuneration. Except as specifically agreed in a Schedule attached to this Liquidating Trust and made a part hereof, a Trustee shall serve without compensation for its services as Trustee. However, any Trustee shall be entitled to receive, directly or indirectly, remuneration for services rendered to the Trust in any other capacity, including, without limitation, services as an agent or employee of the Trust, legal, accounting, or other professional services, or services as a transfer agent, underwriter, or otherwise. The Trustee shall be reimbursed for its reasonable expenses incurred in connection with its service as Trustee.

Trustees who are not employees of and who do not receive salary from the Trust or its affiliates shall be entitled to receive for their services as Trustees such reasonable compensation as the Trustees may determine from time to time, as well as reimbursement of their out-of-pocket expenses incurred in acting as a Trustee. Compensation and Other Remuneration. (b) of the Agreement is hereby amended to add at the end thereof: “You will be considered to be retirement-eligible for purposes of all equity-based awards based on your service with the Company and its affiliates prior to the Effective Date, and your equity awards shall provide that if your employment terminates for any reason other than pursuant to Section 5.1, 5.2 or 5.3, then (i) your outstanding unvested stock options as of your Term Date shall immediately vest and become exercisable as of such date, and together with your other then outstanding vested stock options, shall remain exercisable for a period five (5) years following such date (but not beyond the end of their original term); (ii) your outstanding grants of restricted stock units and other equity-based awards (other than performance-based awards) shall vest on your retirement date, and your restricted stock units shall be settled within sixty (60) days of such date (or at such later date as shall be required under Section 9.12 and (iii) the Company will issue or transfer to you as soon as practicable following the end of the applicable performance period that includes your Term Date, but in no event later than two and one-half months following the end of the performance period or such later date as shall be required under Section 9.12, a number of shares in settlement of outstanding and unvested performance-based awards pro-rated based on your service and actual performance in the applicable performance period.”
Compensation and Other Remuneration. Section 3 of the Agreement is amended to read in its entirety as follows: The Company will pay to you during the Extended Term of Employment, a base salary at the rate of not less than $250,000 per annum (the “Base Salary”). The Company may increase, but not decrease, the Base Salary during the Extended Term of Employment. Base Salary will be paid in accordance with the customary payroll practices of the Company and shall be subject to payroll deductions and required withholdings. You will not be eligible to receive any new awards under the Company’s annual or long-term incentive plans; provided, however, that you will be eligible to receive a pro-rated bonus under the Company’s 2016 Annual Incentive Plan based on the period prior to July 18, 2016 determined using a target bonus of $927,000, a strategic rating of 100%, and the Company’s achievement on its financial goals; and provided, further, that nothing shall preclude the Company from providing you with a discretionary bonus.

Such Independent Trustees, either directly or indirectly, shall also be entitled to receive remuneration for services rendered to the Trust in any other capacity. Such services may include services as an officer of the Trust, legal, accounting or other professional services or services as a broker, transfer agent, agent or underwriter, whether performed by a Trustee or any person affiliated with a Trustee. Trustees who are employed by and receive salary from the Trust or the wholly-owned Subsidiary of the Trust or their respective affiliates or associates shall not be entitled to receive any remuneration for their services as Trustees but shall be entitled to reimbursement from the Trust of their out-of-pocket expenses incurred in acting as a Trustee. The Trustees shall be eligible to participate in any incentive plan for employees, Trustees or officers adopted by the Trust.
