This Agreement constitutes the entire agreement of the parties and supersedes all prior written and oral agreements and representations and there are no implied covenants or other agreements between the parties except as expressly set forth in this Agreement. Neither City nor Licensee is relying on any representations other than those expressly set forth herein.
