Common use of Compliance with Applicable Laws; Authorizations Clause in Contracts

Compliance with Applicable Laws; Authorizations. The purchase of the Shares by the Investor hereunder shall not be prohibited by any applicable law or governmental order, rule or regulation and shall not subject the Investor to any penalty, tax, liability, or, in the Investor's reasonable judgment, other onerous condition, and the purchase of the Shares by the Investor hereunder shall be permitted by laws, rules, and regulations of the jurisdictions and governmental authorities and agencies to which the Investor is subject. Any necessary consents, waivers, approvals, licenses, permits, orders and authorizations of, and any filings, registrations or qualifications with, any governmental authority of other Person (including any consents or waivers by the holders of the Class A Preferred Stock), with respect to the transactions contemplated by this Agreement, the Share Purchase Agreements and the Transaction Documents shall have been obtained or made and shall be in full force and effect.
