Compliance with Instructions. We will only Process Personal Data for the purposes described in this DPA or as otherwise agreed within the scope of your lawful Instructions, except where and to the extent otherwise required by applicable law. We are not responsible for compliance with any Data Protection Laws applicable to you or your industry that are not generally applicable to us.
Compliance with Instructions. The Security Trustee shall be entitled (without prejudice to or limitation of any other rights which it may have or acquire under any Finance Document) to require a Ship to remain at any safe port or to proceed to and remain at any safe port designated by the Security Trustee until the relevant Security Party implements any amendments to the terms of the obligatory insurances and any operational changes required as a result of a notice served under Clause 13.18.
Compliance with Instructions. The parties acknowledge and agree that Customer is the Controller of Personal Data and SyncForce is the Processor of that data. Processor shall collect, process and use Personal Data only within the scope of Controller’s Instructions. If the Processor believes that an Instruction of the Controller infringes the Data Protection Law, it shall immediately inform the Controller without delay. If Processor cannot process Personal Data in accordance with the Instructions due to a legal requirement under any applicable European Union, Processor will (i) promptly notify the Controller of that legal requirement before the relevant Processing to the extent permitted by the Data Protection Law; and (ii) cease all Processing (other than merely storing and maintaining the security of the affected Personal Data) until such time as the Controller issues new instructions with which Processor is able to comply. If this provision is invoked, Processor will not be liable to the Controller under the Agreement for any failure to perform the applicable services until such time as the Controller issues new instructions in regard to the Processing.
Compliance with Instructions. Vendor shall only Process Personal Data for the purposes described in this DPA, including Attachment 1, or as otherwise agreed within the scope of Customer’s lawful Instructions, except where and to the extent otherwise required by applicable law. Vendor is not responsible for compliance with any Data Protection Laws applicable to Customer or Customer’s industry that are not generally applicable to Vendor.
Compliance with Instructions. Exam Taker agrees that the computer and operating system onto which the SOFTWARE is to be installed complies with the minimum system requirements for the SOFTWARE. Exam Taker further agrees to follow and perform all installation and use procedures in accordance with the instructions included with the SOFTWARE or provided by the exam administrator. ExamSoft reserves the right to update the version of the SOFTWARE available for use by Exam Taker at any time, including automatically updating Exam Taker’s installed version of the SOFTWARE.
Compliance with Instructions. Findmyshift sha l Process Personal Data only within the scope of Customer’s Instructions.
1. If Findmyshift believes that an Instruction of the Customer infringes the Data Protection Laws, it sha l immediately inform the Customer without delay.
2. If Findmyshift cannot process Personal Data in accordance with the Instructions due to a legal requirement under any applicable European Union or Member State law, Findmyshift wil promptly notify the Customer of that legal requirement before the relevant Processing to the extent permitted by the Data Protection Law; and cease a l Processing (other than merely storing and maintaining the security of the a fected Personal Data) until such time as the Customer issues new instructions with which Findmyshift is able to comply. If this provision is invoked, Findmyshift wil not be liable to the Customer under the Agreement for any failure to perform the applicable services until such time as the Customer issues new instructions in regard to the Processing.
3. If Findmyshift has reasons to suspect the Instructions involve a Restricted Transfer, it sha l immediately notify Customer of this suspicion and Findmyshift sha l only perform the Instruction upon Customer guaranteeing that the Instruction does not concern a Restricted Transfer.
Compliance with Instructions. (1) The Contractor may only process personal data within the scope of the order and the documented instructions of the Customer. The instructions shall initially be specified in the Service Agreement and may then be changed, supplemented or replaced by the Customer in text form. Verbal instructions are to be confirmed by the Customer immediately in text form.
(2) If the Contractor is obliged to process personal data in accordance with the law of the Union or the Member State to which the Contractor is subject, the Contractor shall inform the Customer thereof in writing prior to the respective processing, unless the law prohibits such information for important reasons of public interest. In the latter case, the Contractor shall inform the Customer immediately as soon as this is legally possible.
(3) The Contractor shall inform the Customer without delay if it is of the opinion that an instruction violates applicable laws. The Contractor may suspend the implementation of the instruction until it has been confirmed or amended by the Customer.
(4) The Contractor may use data concerning the use of the software by the Customer in anonymized form for the purposes of optimizing the software, user experience and for security-relevant evaluations. The Customer hereby issues a corresponding instruction for the corresponding anonymization.
Compliance with Instructions. Escrow Agent does not have and shall not be deemed to have any responsibility in respect of any instruction, certificate or notice delivered to it other than faithfully to carry out the obligations undertaken in this Agreement and to follow the directions in such instruction or notice provided in accordance with the terms hereof.
Compliance with Instructions. Findmyshift shall Process Personal Data only within the scope of Customer’s Instructions or insofar as this would be necessary to be able to execute the Subscription Services.
4.1.1. If Findmyshift believes that an Instruction of the Customer infringes the Data Protection Laws, it shall immediately inform the Customer without delay, unless the law forbids disclosure of this information for important reasons of public interest.
4.1.2. If Findmyshift cannot process Personal Data in accordance with the Instructions due to a legal requirement under any applicable European Union or Member State law, Findmyshift will promptly notify the Customer of that legal requirement before the relevant Processing to the extent permitted by the Data Protection Law; and cease all Processing (other than merely storing and maintaining the security of the affected Personal Data) until such time as the Customer issues new instructions with which Findmyshift is able to comply. If this provision is invoked, Findmyshift will not be liable to the Customer under the Agreement for any failure to perform the applicable services until such time as the Customer issues new instructions in regard to the Processing.
4.1.3. If Findmyshift has reasons to suspect the Instructions involve a Restricted Transfer, it shall immediately notify Customer of this suspicion and Findmyshift shall only perform the Instruction upon Customer guaranteeing that the Instruction does not concern a Restricted Transfer.
4.1.4. Findmyshift guarantees that the persons in its organisation who are authorised to Process Personal Data, have committed themselves to observe confidentiality or are bound by an appropriate statutory confidentiality obligation.
Compliance with Instructions. In addition to such other duties as may be imposed by law, Purchaser will comply with all of Seller's reasonable instructions regarding rejected goods. If Purchaser incurs any expenses in complying with such instructions, Seller shall reimburse Purchaser for such expenses promptly upon receipt of Purchaser's written request therefor.
