Common use of Compliance with Laws, Contracts, Licenses, and Permits Clause in Contracts

Compliance with Laws, Contracts, Licenses, and Permits. The Borrower and CAI will, and will cause each of its respective Subsidiaries to, comply (a) in all material respects with the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (b) with the provisions of its Governing Documents, (c) with all agreements and instruments by which it or any of its properties may be bound and (d) with all applicable decrees, orders, and judgments. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower, CAI or any of its respective Subsidiaries may fulfill any of its obligations hereunder or under any of the other Loan Documents to which CAI or such Subsidiary is a party, the Borrower and CAI will, or (as the case may be) will cause such respective Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower, CAI or such respective Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof.

The Each of CML and each Borrower and CAI will, and will cause each of its respective their Subsidiaries to, comply with (ai) in all material respects with the applicable laws and regulations wherever its business is conducted, including all Environmental Laws, (bii) with the provisions of its Governing Documentscharter documents and by-laws, (ciii) with all agreements and instruments by which it or any of its properties may be bound and (div) with all applicable decrees, orders, and judgments. If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that CML, any of the Borrower, CAI Borrowers or any of its respective their Subsidiaries may fulfill any of its obligations hereunder or under any of the other Loan Documents to which CAI CML, such Borrower or such Subsidiary is a party, the CML or such Borrower and CAI will, or (as the case may be) will cause such respective Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower, CAI CML or such respective Borrower or such Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders with evidence thereof.

If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that the Borrower, CAI Borrower or any of its respective Subsidiaries may fulfill any of its obligations hereunder or under any of the other Loan Documents to which CAI the Borrower or such Subsidiary is a party, the Borrower and CAI will, or (as the case may be) will cause such respective Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of the Borrower, CAI Borrower or such respective Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Banks with evidence thereof.

If any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that HBOC, the Borrower, CAI Borrower or any of its respective their Subsidiaries may fulfill any of its obligations hereunder or under any of the other Loan Documents to which CAI HBOC, the Borrower or such Subsidiary is a party, HBOC and the Borrower and CAI will, or (as the case may be) will cause such respective Subsidiary to, immediately take or cause to be taken all reasonable steps within the power of HBOC, the Borrower, CAI Borrower or such respective Subsidiary to obtain such authorization, consent, approval, permit or license and furnish the Administrative Agent and the Lenders Banks with evidence thereof.
