Compliance with Obligations. Buyer must have performed and complied with all its covenants and obligations required by this Agreement to be performed or complied with at or prior to Closing (singularly and in the aggregate) in all material respects.
Compliance with Obligations. 3.1 The Authorised Entity covenants with the Client that the Authorised Entity will duly discharge, perform and observe all the liabilities, obligations and stipulations of the Authorised Entity under any Call Off Contracts it enters into pursuant to the Framework Agreement and will keep the Client duly and effectually indemnified against all actions, proceedings, claims, demands, costs, damages, penalties and expenses whatsoever under or in respect of any such Call Off Contracts.
3.2 The Authorised Entity covenants with the Client that the Authorised Entity shall comply with all obligations in the Framework Agreement that are expressed to be obligations of an Authorised Entity.
3.3 The Authorised Entity acknowledges and agrees that, to the fullest extent permitted by law:
3.3.1 the Client shall have no liability to the Authorised Entity (whether in contract, tort or otherwise) for any matter arising out of or in connection with the carrying out of a Mini-Competition by the Client on the Authorised Entity’s behalf; and
3.3.2 the Client shall not be liable for or be required to indemnify the Authorised Entity against any expenses, liability, losses or costs incurred by the Authorised Entity which arise out of or in connection with the carrying out of a Mini-Competition by the Client on the Authorised Entity’s behalf, whether under contract, tort or on any other legal basis.
Compliance with Obligations. Seller shall have performed and complied with all of its covenants set forth in this Agreement to be performed or complied with at or prior to Closing (singularly and in the aggregate) in all material respects.
Compliance with Obligations. Guarantor shall at all times comply (i) with its organizational documents, (ii) in all material respects with any agreements by which it is bound or to which its assets are subject and (iii) in all material respects with any applicable Requirement of Law.
Compliance with Obligations. To the extent the Business Associate is to carry out one or more of City’s obligation(s) under Subpart E of 45 CFR Part 164, the Business Associate must comply with the requirements of Subpart E that apply to the City in the performance of such obligation(s). Business Associate may not use or disclose PHI in a manner that would violate Subpart E of 45 CFR Part 164 if done by the City.
Compliance with Obligations. Seller shall comply in all material respects with the obligations of Seller under the Leases, the Contracts and all other agreements and contractual arrangements by which Seller and/or the Property are bound or affected. Seller shall maintain its current insurance policy in full force and effect and shall pay all required premiums and other charges.
Compliance with Obligations. Prior to the Effective Time, the Company shall comply in all material respects with (i) all applicable federal, state, local and foreign laws, rules and regulations; (ii) all material agreements and obligations, including its articles or certificate of incorporation or charter documents, by which it or its properties or its assets (real, personal or mixed, tangible or intangible) may be bound; and (iii) all decrees, orders, writs, injunctions, judgments, statutes, rules and regulations applicable to the Company, and its respective properties or assets.
Compliance with Obligations. The Company and the Sellers shall have performed and complied in all respects with all agreements, obligations and conditions contained in the Agreement that are required to be performed or complied with on or before Closing and shall have obtained all approvals, consents and qualifications necessary to complete the sale and purchase of the Sale Shares;
