Compliance with Relevant Requirements. 13.1 You will:
13.1.1 comply with all applicable laws, statutes, regulation, and codes relating to anti-bribery and anti- corruption including but not limited to the Xxxxxxx Xxx 0000 (Anti-Corruption Requirements);
13.1.2 not engage in any activity, practice or conduct which would constitute an offence under sections 1, 2 or 6 of the Xxxxxxx Xxx 0000 if such activity, practice or conduct had been carried out in the UK;
13.1.3 comply with our Anti-bribery and Anti-Corruption Policies (a copy of which we can provide you with on request) as we may update them from time to time (Relevant Policies).
13.1.4 have and shall maintain in place throughout the term of this agreement your own policies and procedures, including adequate procedures under the Xxxxxxx Xxx 0000, to ensure compliance with the Anti-Corruption Requirements and the Relevant Policies and will enforce them where appropriate;
13.1.5 promptly report to us any request or demand for any undue financial or other advantage of any kind received by yourselves in connection with the performance of this agreement;
13.1.6 immediately notify us (in writing) if a foreign public official becomes an officer or employee of yours or acquires a direct or indirect interest in your business and you warrant that you have no foreign public officials as direct or indirect owners, officers or employees at the date of this agreement;
13.1.7 certify to us in writing, upon our reasonable request, compliance with this clause 13 by yourselves and all persons associated with you in connection with this agreement. You shall provide such supporting evidence of compliance as we may reasonably request.
13.2 You shall ensure that any person associated with you who is performing services in connection with this agreement does so only on the basis of a written contract which imposes on and secures from such person terms equivalent to those imposed on the yourselves in this clause 13. You shall be responsible for the observance and performance by such persons of such terms, and shall be directly liable to us for any breach of any such terms.
13.3 Breach of this clause 13 shall be deemed an irremediable material breach under clause 11.1.2.
13.4 For the purpose of this clause 13, the meaning of adequate procedures and foreign public official and whether a person is associated with another person shall be determined in accordance with section 7(2) of the Xxxxxxx Xxx 0000 (and any guidance issued under section 9 of that Act), sections 6(...
Compliance with Relevant Requirements. 12 The Client shall:
Compliance with Relevant Requirements. Each party shall: (a) comply with all applicable laws, statutes, regulations relating to anti-bribery and anti-corruption including but not limited to the Xxxxxxx Xxx 0000; and (b) promptly report to the other party any request or demand for any undue financial or other advantage of any kind received in connection with the performance of this Agreement.
Compliance with Relevant Requirements. 23.1 The Parties hereby warrant, represent and undertake to each other that at the Effective Date hereof, neither Party or its agents, officers or any third parties on their behalf, has offered, given, demanded, requested, accepted or agreed to any undue pecuniary or other advantage of any kind (or implied or inferred that they will or might do any such thing at any time in the future) in any way connected with this Agreement or any other agreement between the Parties (or any related parties).
23.2 The Parties agree that at all times throughout the course of this Agreement they will comply with and ensure that their agents, subcontractors, servants, employees, shareholders and officers (“Associated Persons”) have not and shall not breach any anticorruption or anti-bribery laws or regulations applicable to the Parties.
23.3 Neither the Party nor any of its subsidiaries nor any of their Associated Persons is or has been the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body or any customer regarding any offence or alleged offence under any anticorruption or anti-bribery laws in any territory in which a Party its subsidiaries or Associated Persons conducts business, and no such investigation, inquiry or proceedings have been threatened or are pending and there are no circumstances likely to give rise to any such investigation, inquiry or proceedings.
23.4 Neither the Party nor any of its subsidiaries nor any of their Associated Persons is ineligible to be awarded any contract or business for violating or neglecting any anti-bribery or anticorruption law in any territory in which the Party or its Associated Persons conducts business.
23.5 The Parties specifically confirm that the Arbitrators referred to in clause (29) shall have the ability to determine the civil consequences of any alleged non-observance of this clause (23).

Compliance with Relevant Requirements. 13.1 WCU will comply with all applicable laws, statutes, regulations and codes relating to anti-bribery and anti-corruption including but not limited to the Xxxxxxx Xxx 0000.
13.2 WCU will not engage in any activity, practice or conduct which would constitute an offence under sections 1, 2 or 6 of the Xxxxxxx Xxx 0000 if such activity, practice or conduct had been carried out in the UK.
13.3 WCU will promptly report to Three Rivers any request or demand for any undue financial or other advantage of any kind in connection with the performance of this agreement.
13.4 WCU will treat all confidential information (meaning all information and documents passing or that have passed between itself or any person associated with it and performing services in connection with this agreement and Three Rivers) as strictly private and will not disclose it to any third party without the written consent of Three Rivers District Council.
Compliance with Relevant Requirements. 24.1 Each party shall:
(i) comply with all applicable laws, statutes, regulations relating to anti-bribery and anti corruption including but not limited to the Xxxxxxx Xxx 0000 (“Relevant Requirements”);
(ii) not engage in any activity, practice or conduct which would constitute an offence under sections 1,2 or 6 of the Xxxxxxx Xxx 0000 if such activity, practice or conduct had been carried out in the UK; and
(iii) have and shall maintain in place throughout the term of their agreement its own policies and procedures, including adequate procedures under the Xxxxxxx Xxx 0000 to ensure compliance with the Relevant Requirements and will enforce them where appropriate.
Compliance with Relevant Requirements. 32.1. The VAR shall:
32.1.1. comply with all applicable laws, statutes, regulations, and codes relating to anti-bribery and anti-corruption including the Xxxxxxx Xxx 0000 (“Relevant Requirements”);
32.1.2. not engage in any activity, practice or conduct which would constitute an offence under sections 1, 2 or 6 of the Xxxxxxx Xxx 0000 if such activity, practice or conduct had been carried out in the UK;
32.1.3. have and shall maintain in place throughout the term of this Agreement its own policies and procedures, including adequate procedures under the Xxxxxxx Xxx 0000, to ensure compliance with the Relevant Requirements, and will enforce them where appropriate;
32.1.4. promptly report to the Company any request or demand for any undue financial or other advantage of any kind received by the VAR in connection with the performance of this Agreement;
32.1.5. immediately notify the Company (in writing) if a foreign public official becomes an officer or employee of the VAR or acquires a direct or indirect interest in the VAR (and the VAR warrants that it has no foreign public officials as officers, employees or direct or indirect owners at the date of this Agreement);
32.2. The VAR shall ensure that any Person associated with the VAR who is performing services in connection with this Agreement does so only on the basis of a written contract which imposes on and secures from such Person terms equivalent to those imposed on the VAR in this Clause 32 (“Relevant Terms”). The VAR shall be responsible for the observance and performance by such Persons of the Relevant Terms, and shall be directly liable to the Company for any breach by such Persons of any of the Relevant Terms.
32.3. Breach of this Clause 32 shall be deemed a material breach of this Agreement.
32.4. For the purpose of this Clause 32 the meaning of adequate procedures and foreign public official whether a Person is associated with another Person shall be determined in accordance with section 7(2) of the Xxxxxxx Xxx 0000 (and any guidance issued under section 9 of that Act), sections 6(5) and 6(6) of that Act and section 8 of that Act respectively. For the purposes of this Clause 32 a Person associated with the VAR includes any subcontractor of the VAR.
Compliance with Relevant Requirements. 22.1 Each Party shall:
22.1.1 comply with all applicable laws, statutes, regulations relating to anti-bribery and anti-corruption including but not limited to the Bribery Act 2010 (“Relevant Requirements”);
22.1.2 not engage in any activity, practice or conduct which would constitute an offence under sections 1,2 or 6 of the Bribery Act 2010 if such activity, practice or conduct had been carried out in the UK; and
22.1.3 have and shall maintain in place throughout the term of this Agreement its own policies and procedures, including adequate procedures under the Bribery Act 2010 to ensure compliance with the Relevant Requirements and will enforce them where appropriate.
Compliance with Relevant Requirements. The Placement Organisation shall: comply with all applicable laws, statutes, regulations and codes relating to anti-bribery and anti-corruption including but not limited to the Bribery Act 2010 (“Relevant Requirements”); comply with such ethics, anti-bribery and anti-corruption policies of the University from time to time in force as are provided to the Placement Organisation from time to time; promptly report to the University any request or demand for any undue financial or other advantage of any kind received by the Placement Organisation in connection with the performance of this Agreement. Breach of this clause 13 shall be deemed a material breach of this Agreement.
Compliance with Relevant Requirements. Each party shall:
13.5.1 comply with all applicable laws, statutes, regulations, and codes from time to time in force, relating to anti-bribery and anti-corruption including the UK Xxxxxxx Xxx 0000 and the Modern Slavery Xxx 0000 (“Relevant Requirements”);
13.5.2 not engage in any activity, practice or conduct which would constitute an offence under sections 1, 2 or 6 of the UK Xxxxxxx Xxx 0000 or an offence under sections 1, 2 or 4 of the Modern Slavery Act 2015 if such activity, practice or conduct had been carried out in the UK;
13.5.3 have and shall maintain in place throughout the term of this Agreement its own policies and procedures, including but not limited to adequate procedures under the UK Xxxxxxx Xxx 0000 and its own policies and procedures in relation to anti- slavery , to ensure compliance with the Relevant Requirements and this Clause 13.5, and will enforce them where appropriate;
13.5.4 Each party shall notify the other immediately in writing if it becomes aware or has reason to believe that it, or any of its officers, employees, representatives or agents have, breached or potentially breached any of the obligations under this Clause 13.5. Such notice shall set out full details of the circumstances concerning the breach or potential breach of the obligations.
13.5.5 Breach of this Clause 13.5 shall be deemed a material breach of this Agreement that is not capable of being remedied.
