Compliance with Xxxx. Xxxxxxx shall comply with all applicable laws, statutes, by-laws, regulations, codes and rules of any entity having jurisdiction over Xxxxxxx’s use and occupation of the Lands and building thereon, as well as the rights granted thereto and any and all matters attendant thereto.
Compliance with Xxxx. Xxxxxxx Group is, and has conducted their businesses, in compliance in all material respects with all applicable Laws. The Persons in Company Group and their officers, directors and employees hold all material licenses, permits, registrations and other authorizations required to conduct in all material respects their businesses as conducted prior to the Effective Time, and all such material licenses, permits, registrations and other authorizations are valid and in full force and effect and will continue to be in full force and effect immediately following the consummation of the transactions contemplated by this Agreement. Company Group is in compliance in all material respects with all such material licenses, permits, registrations and authorizations. Company Group has not received any written notification or communication from any Governmental Authority (a) asserting that Company Group is not, or has not been (unless subsequently cured), in compliance in all material respects with any Law or (b) threatening to revoke any material license, permit, registration or authorization. Neither Company Group nor any director, officer, agent, employee or other person acting on behalf of Company Group has, in the course of acting for, or on behalf of, Company Group, (i) directly or indirectly used any corporate funds for any unlawful contribution, gift, entertainment or other unlawful expenses relating to political activity; (ii) directly or indirectly made any direct or indirect unlawful payment to any foreign or domestic government official or employee from corporate funds; (iii) violated or is in violation of any provision of the U.S. Foreign Corrupt Practices Act of 1977, or any similar treaties of the United States; or (iv) directly or indirectly made any bribe, rebate, payoff, influence payment, kickback or other unlawful payment to any Governmental Authority (foreign or otherwise) or party official or employee.
Compliance with Xxxx. XXXXXXX shall comply, and to the best of its ability shall ensure, that its employees, agents, consultants, and representatives comply with all federal, state, and local laws, regulations, and ordinances applicable to the work to be performed. The work performed by EVERETT under this Agreement shall comply with all applicable public works and procurement laws and regulations, including, but not limited to, bonding, prevailing wage, nondiscrimination, retainage, insurance, and workers compensation requirements.
Compliance with Xxxx. 11.1. The Parties acknowledge their respective obligations to comply with the substantive provisions of the Protection of Personal Information Act, 4 of 2013 (hereinafter referred to as ‘POPI’).
11.2. Where any party receives any personal information as defined in POPI it shall ensure that it fully complies with the provisions of the Act and only deal with the personal information to fulfil its obligations under this Agreement. The personal information received shall not be further processed or disclosed without the consent of the disclosing party.
11.3. Each party therefore understands and agrees, notwithstanding any contrary provision in any other agreement between the parties, that each party retains its full rights to pursue legal or equitable remedies in the event of any breach or threatened breach of the provisions dealing with XXXX, and may prevent the other party, any of its agents or subcontractors, or any third party who has received records from that party from violating this Agreement by any legal means available. Each party further understands that violation of the provisions dealing with POPI may subject that party to applicable legal penalties, including those provided under POPI.
11.4. Within thirty (30) days after the termination of this Agreement, for whatever reason, the receiving party of either party`s personal information shall return same or at the discretion of the disclosing party of such personal information, destroy such personal information, and shall not retain copies, samples or excerpts thereof.
11.5. In cases where the disclosing party has elected for the personal information to be destroyed, as provided for in clause 11.4 above, the receiving party shall, within ten (10) days of receiving the instruction to destroy the personal information, send an affidavit confirming the destruction of personal information.
Compliance with Xxxx. Client agrees (i) to utilize the Core Commercial Services in accordance with the terms and conditions of this XXXX, and (ii) to provide training materials to End Users to ensure they use the Core Commercial Services in accordance with these terms and conditions and any Documentation, including any required changes to workflow.
Compliance with Xxxx. Xx the best of the knowledge of Borrower, Borrower is not in material violation of any statute, rule or regulation of any Governmental Authority (including, without limitation, any statute, rule or regulation relating to employment practices or to environmental, occupational and health standards and controls). Borrower has obtained all licenses, permits, franchises, and other governmental authorizations necessary for the ownership of its properties and the conduct of its business. Borrower is current with all reports and documents required to be filed with any state or federal securities commission or similar Governmental Authority and is in full compliance with all applicable rules and regulations of such commissions.
Compliance with Xxxx. Xxxx must:
(a) ensure that all Services and Deliverables supplied under this Agreement comply with all applicable laws; and
(b) ensure that it has and enforces occupational health and safety policies and management systems, and safe work practices and procedures as required by relevant laws.
Compliance with Xxxx. Strany se zavazují při plnění této Dohody a v jakékoli souvislosti s ním postupovat vždy v souladu s právními předpisy, zejména (vždy ve znění pozdějších předpisů) se zákonem č. 40/1995 Sb., o regulaci reklamy; zákonem č. 143/2001 Sb., o ochraně hospodářské soutěže; Smlouvou o fungování Evropské Unie, zejména s jejími články 101 a 102; zákonem č. 378/2007 Sb., o léčivech; zákonem č. 48/1997 Sb., o veřejném zdravotním pojištění; zákonem č. 372/2011 Sb., o zdravotních službách; zákonem č. 235/2004 Sb., o dani z přidané hodnoty; zákonem č. 526/1990 Sb., o cenách a v souladu s příslušnými cenovými předpisy. Strany s ohledem na vzájemný obchodní vztah činí nesporným, že Bonus poskytovaný na základě této Dohody je bonusem neadresným ve smyslu příkazu ministra zdravotnictví pro přímo řízené organizace č. 13/2018.
Compliance with Xxxx. Xxx agree to comply with all laws related to your installation and use of the Evaluation Software. The Evaluation Software is subject to U.S. export control laws, and may be subject to export or import regulations in other countries. You shall not, or permit any other person to, export, re-export or release, directly or indirectly the Evaluation Software to any country, jurisdiction or person to which the export, re-export or release of the Evaluation Software (a) is prohibited by applicable Law or {b) without first completing all required undertakings (including obtaining any necessary export license or other governmental approval).
Compliance with Xxxx. To the best knowledge of Buyer, B yer has compiled in all material respects with all applicable federal, state and local laws, rules, regulations and ordinances with respect to the Paxson Tower Assets. To the best knowledge of Seller, neither the xxxxxxhip or use, nor the conduct of the business or operations of the Paxson Tower Assets conflicts with the rights of any other person, xxxx xr corporation.
