Computer Data. Prior to the Closing Date the Servicers shall provide the Supervisory Servicer with all data on the Servicers' computerized servicing system relating to the Loans in an electronically readable form specified by the Supervisory Servicer and shall update such data at least monthly.
Computer Data. On the Closing Date, Transferor shall cooperate with New Operator and leave the data pertaining exclusively to the employees and residents of the Facility on computer software contained on the computers located at the Facility and management company’s offices and provide New Operator with said data in an electronic format which is currently utilized by Transferor for downloading to New Operator’s computers. Notwithstanding the foregoing, Transferor shall have the right to replace the hard drives in any computers that are being acquired by New Operator with new hard drives within thirty (30) days following the Closing Date. In addition, New Operator shall indemnify, defend and hold harmless Transferor from and against any loss, claim or damage related to any improper disclosure of any such data in accordance with Section 1.13.
Computer Data. Not later than the Closing Date, Seller shall have procured for the Company sufficient rights to the Company’s customer lists, software, technical information, data, and data processing technology used by the Company in the Business and set forth on Schedule 5.8, such that the Company may continue to use the same or equivalent software following the Closing in the ordinary course of business. The Parties acknowledge and agree that, prior to Closing, Seller will remove all proprietary data and software owned by Seller or its Affiliates (other than the Company) from the Company’s files, software, servers and other hardware; provided that such proprietary data and software does not primarily relate to the Company or the Business.
Computer Data. To the extent that any of the data created by the Contractor for the purposes of the Project is generated by or maintained on a computer or similar system, the Contractor shall:
Computer Data. A. In the event this Agreement terminates and/or the Agency refuses or is unable to administer and run-off business produced under this Agreement, then in that event the Agency shall immediately provide the Company with a tape back- up of all programs and data libraries, including updated source code and data files, used in the production and administration of business hereunder (the "Data"). The Company agrees that it shall utilize the Data solely for the purpose of administering and running off the business produced hereunder.
B. The Agency hereby grants, at no cost to the Company, a limited license to the Company to use the Agency's software ("Software") in connection with the administration and run-off of the business produced hereunder. The Agency shall deliver the Software, together with the source and object code for the Software, as well as all necessary manuals, immediately upon delivery of the Data to the Company as provided in the preceding paragraph. The Company grants the Agency, at no cost during the term of this Agreement and subsequent to the term of this Agreement in connection with the administration and run-off of the business produced, the limited license to use the Company's software programs for the purposes of this Agreement.
Computer Data. 22.1 Any computer data held by the Provider on behalf of the Council must be held as encrypted data on any computers or portable storage devices.
Computer Data. 27.1 Any computer data held by the Provider on behalf of the Commissioner must be held as encrypted data on any computers or portable storage devices.
27.2 The Provider shall have a written policy in relation to the storage of computer data and the transfer of data between the Parties. This policy will be made available for inspection by the Commissioner.
27.3 Failure by the Provider to comply with its obligations under this clause 27 may be regarded as a material breach of this Agreement.
Computer Data. Logilys’s Software and/or services use Internet protocols to send Logilys information about your use, such as the software key, serial number and ID of your copy of the software, as well as the validation result and the installation result of the software. Logilys may use this information to improve its software and services, to limit the use of unlicensed software and to compile statistics. Logilys may also share it with third parties, such as hardware and software suppliers or volume licensees. By using Logilys’s Software and/or services, the Customerconsents to the transmission of this information.
Computer Data. On the Closing Date, Transferor shall cooperate with New Operator and leave the data pertaining exclusively to the employees and residents of the Facility excluding any proprietary management tools or information maintained electronically on computer software contained on the computers located at the Facility and management company’s offices and provide New Operator with said data in an electronic format which is currently utilized by Transferor for downloading to New Operator’s computers. Notwithstanding the foregoing, Transferor shall have the right to replace the hard drives in any computers that are being acquired by New Operator with new hard drives within sixty (60) days following the Closing Date. In addition, New Operator shall indemnify, defend and hold harmless Transferor from and against any loss, claim or damage related to any improper disclosure of any such data in accordance with Section 1.13. Transferor may retain copies of any data related to the Facility that it deems reasonably necessary.
Computer Data. Due to IMC editing facilities being closed, all student data for the Fall 2020 semester must be kept on the student’s personal hard drive.
