Except as set forth on Exhibit 9.12, Vairex's assets are currently in good and usable condition and there are no defects or other conditions which, in the aggregate, materially and adversely affect the operation or values of such assets taken as a whole. Except as disclosed on Exhibit 9.12, no person other than Vairex (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business.

No person other than BlueStream (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business.

Except as disclosed on Exhibit 9.11, no person, to VETCO's Best Knowledge, other than VETCO (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business.

Except as disclosed on Exhibit 11.16, no person, to the Corporation's Best Knowledge, other than the Corporation (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business.

Except as disclosed on Exhibit 6.12, no person other than RJL (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business. The Company does not currently market any products for sale.

Except as set forth in Section 9.10 of the Disclosure Schedule, BMTS's assets are currently in good and usable condition and there are no defects or other conditions which, in the aggregate, materially and adversely affect the operation or values of such assets taken as a whole. Except as disclosed in Section 9.10 of the Disclosure Schedule, no person other than BMTS (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business.

Except as disclosed on Exhibit 9.11, no person other than XFM (including any officer or employee of the Corporation) has any proprietary interest in any know-how or other intangible assets used by the Corporation in the conduct of its business.
