Conditions on Use. The use by Tenant, its employees, suppliers, shippers or customers and invitees, of the Garage shall be on the terms and conditions established by Landlord (or Landlord’s agent), and shall be subject to such other agreement between Landlord and Tenant as may hereinafter be established. Tenant shall not permit or allow any vehicles that belong to or are controlled by Tenant or Tenant’s employees, suppliers, shippers, customers or invitees to be loaded, unloaded or parked in areas other than those designated for such activities by Landlord. Tenant shall not store or permit its employees to store any automobiles in the Garage, without the prior written consent of Landlord. Except for emergency repairs, Tenant and its employees shall not perform any work on any automobiles while located in the Garage or on the Property. If it is necessary for Tenant or its employees to leave an automobile in the Garage, overnight, Tenant shall provide Landlord with prior notice thereof designating the license plate number and model of such automobile. If Tenant permits or allows any of the prohibited activities, then Landlord shall have the right, without notice, in addition to such other rights and remedies that it may have, to remove or tow away the vehicle involved and charge the cost to Tenant, which cost shall be payable within thirty (30) days of Tenant’s receipt of an invoice from Landlord, together with reasonable supporting evidence. Tenant shall have no right to assign or sublicense any of its rights in Tenant’s Parking Spaces, except as part of a permitted assignment of this Lease or a sublease of the Premises. Landlord shall have the right to terminate Tenant’s rights hereunder (including termination of any parking agreement related thereto) with respect to any of Tenant’s Parking Spaces that Tenant desires to sublicense or assign except as part of a permitted assignment of this Lease or a sublease of the Premises. Landlord may, in its discretion, allocate and assign parking spaces in the Garage among Tenant and other tenants and occupants in the Project so long as Tenant has access to Tenant’s Required Parking Spaces. Landlord shall also have the right from time to time to promulgate reasonable rules and regulations regarding the Garage, Tenant’s Parking Spaces and the use thereof, including rules and regulations controlling the flow of traffic to and from various areas of the Garage, the angle and direction of parking and the like. In addition to the applicable conditions set forth in Section 5 of the Agreement, as a condition to MSP’s use of the Service, MSP must not: (A) knowingly permit any Beneficiaries to take any action or to refrain from taking any action that would result in a breach any of the conditions in Section 4 of the Agreement; or (B) use the Service for the provision of any services, other than the Managed Services, for the benefit of any third party.

As a condition to Your license to the SDK and access to the API, You must not: (a) reverse engineer or decompile the Redistributable DLL Files; (b) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the SDK or API to any third party, including on or in connection with the Internet or any time-sharing, service bureau, software as a service, cloud, or other technology or service, except, with regard to the Redistributable DLL Files, to the extent permitted in Section 2.b; (c) input, upload, transmit, or otherwise provide to or through the API, any information or materials that are unlawful or injurious, or contain, transmit, or activate any malicious or harmful code; (d) remove, delete, alter, or obscure any copyright, trademark, patent, or other intellectual property or proprietary rights notices in or relating to the SDK or API; (e) access or use the SDK or API in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party, or that violates any applicable law or regulation; (f) access or use the SDK or API for the development, provision, or use of a software service or product that competes with the Webroot Services; and (g) otherwise access or use any part of the SDK or API beyond the scope of the authorization granted under Section 2. You are responsible for Your authorized users’ compliance with the foregoing conditions.

You are responsible for Your authorized users’ compliance with the foregoing conditions.

As a condition to the rights granted in Sections 4 (License to Software) and 5 (Right to Access), End User must not, nor permit any Individual or third party to: (A) access or use the Service in a manner not permitted by the Subscription Documents; (B) circumvent any restrictions or mechanisms intended to limit use of the Service to a particular authorization, entitlement, or subscription; (C) modify or prepare derivative works of the Service; (D) except for the limited rights granted to MSPs under Attachment 3, rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available any portion of the Service to any third party, including in connection with any hosting, time-sharing, service bureau, software as a service, cloud, or other technology or service; (E) reverse engineer, disassemble, or decompile any software used to provide the Service, except to the extent permitted by law; (F) alter or remove any copyright, trademark, or proprietary notices, credits, or legends provided through the Service or on the Service Documentation; (G) use the Service in any manner or for any purpose that infringes, misappropriates, or otherwise violates any Intellectual Property Right or other right of any person or entity; (H) use the Service in violation of any applicable law, directive, regulation, or order; (I) input, upload, transmit, or otherwise provide to or through the Service, any information or materials that are injurious or contain, transmit, or activate any malicious or harmful code;

In addition to the applicable conditions set forth in Sections 6, 7, and 14 of the Agreement, as a condition to MSP’s use of the Service, MSP must not: (A) knowingly permit any Beneficiaries to take any action or to refrain from taking any action that would result in a breach any of the conditions in Section 7 of the Agreement; or (B) use the Service for the provision of any services, other than the Managed Services, for the benefit of any third party. MSP is liable to Webroot for the actions of its Beneficiaries to the same extent that MSP would have been had MSP taken such actions.

As a condition to Your use of the SecureAnywhere Business Solution, You must not: (a) copy, modify or create derivative works of the SecureAnywhere Business Solution or Service Documentation (except You may reproduce copies of the Service Documentation to the extent allowed under Section 2.c); (b) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the SecureAnywhere Business Solution to any third party, including on or in connection with the Internet or any time-sharing, service bureau, software as a service, cloud, or other technology or service; (c) reverse engineer, disassemble, decompile, or otherwise attempt to derive or gain access to any source code of the SecureAnywhere Business Solution; (d) bypass or breach any security device or protection used by the SecureAnywhere Business Solution or access or use the SecureAnywhere Business Solution other than through the use of valid access credentials; (e) input, upload, transmit, or otherwise provide to or through the SecureAnywhere Business Solution, any information or materials that are unlawful or injurious, or contain, transmit, or activate any malicious or harmful code; (f) damage, disrupt, disable, impair, interfere with, or otherwise impede or harm in any manner the SecureAnywhere Business Solution or Webroot’s provision of services to any third party, in whole or in part; (g) remove, delete, alter, or obscure any copyright, trademark, patent, or other intellectual property or proprietary rights notices in or relating to the SecureAnywhere Business Solution or Service Documentation; (h) access or use the SecureAnywhere Business Solution or Service Documentation in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party, or that violates any applicable law or regulation, including for purposes of performing any DDOS attack; (i) access or use the SecureAnywhere Business Solution for purposes of competitive analysis of the SecureAnywhere Business Solution, or for benchmarking or stress testing of the SecureAnywhere Solution, or the development, provision, or use of a competing software service or product; or (j) access or use the SecureAnywhere Business Solution in, or in association with, the design, construction, maintenance, or operation of (1) any hazardous environments, systems, or applications, (2) any safety response systems or other safety-critical...
