Conditions Precedent to Final Facility Effectiveness. The obligation of any Agent or any Lender to make any Loan during the Final Period shall commence as of the Business Day (the "Final Facility Effective Date") when each of the following conditions precedent shall have been satisfied in a manner reasonably satisfactory to the Required Lenders or their advisors (it being agreed and understood that no Loan shall be made unless the requirements of Section 11.22 that are required to occur prior to funding have occurred):
