CONDITIONS PRECEDENT TO THE PARTIES' OBLIGATIONS. The obligations of the Parties as provided herein shall be subject to each of the following conditions precedent, unless waived by the parties:

(a) No injunction, writ, temporary restraining order, or other order, shall be in effect which restrains or prohibits the transactions contemplated by this Agreement, and no litigation or other proceeding shall be pending or threatened which individually or collectively with other proceedings would be reasonably be expected restrain or prohibit the transactions contemplated by this Agreement or have a Material Adverse Effect; and
(b) Any waiting period under the HSR Act with respect to the transactions contemplated by this Agreement shall have expired or been terminated.

CONDITIONS PRECEDENT TO THE PARTIES' OBLIGATIONS. The obligations of the Company and the Consumer under this Agreement are subject to the satisfaction or waiver in writing of the following Conditions Precedent:
(a) The Company shall have obtained all requisite technical, statutory, regulatory and other approvals, clearances, licenses, permits and other consents required by applicable law from the relevant authorities, which are necessary for financing, construction and operation of the Plant and the distribution and delivery of electrical energy;
(b) The Consumer shall have obtained all requisite technical, statutory regulatory and other approvals and permits from the concerned authorities, necessary for receiving the power from the Plant
(c) Financial Closure of the Plant shall have occurred;

The Parties shall have obtained all necessary consents and approvals of their respective boards of directors, and all consents, approvals and authorizations required under their respective charter documents, and all material consents, including any material consents and waivers by the Parties’ respective lenders and other third-parties, if necessary, to the consummation of the transactions contemplated by this Agreement.
