Conditions to Each Additional Advance. The obligation of the Banks to make additional Advances is subject to (a) the accuracy as of the date of such subsequent Advance of each and every representation and warranty of Borrowers and Guarantor made in this Agreement or any other Loan Document, or in any certificate delivered to the Agent and the Banks pursuant to or in connection with this Agreement, (b) the absence of a Default or Event of Default hereunder as of the date of such subsequent Advance, (c) the performance by each Borrower of the respective obligations to be performed hereunder on or before such date, or the satisfaction of other conditions hereunder on or before such date, including without limitation those obligations and conditions set forth in Section 2.02 hereinabove, and (d) the Agent shall have received on or before such date the following:
