Conduct of Practice. Practice covenants and agrees to obey all federal, state and local statutes regarding treatment of employees in a business situation. While the parties hereto recognize and affirm that the employees leased to Practice are the employees of WellQuest, Practice covenants and agrees not to conduct itself in any manner such as to make WellQuest liable for, or subject to any racial or sexual discrimination charges, wage and hour violations or any such other offenses for which WellQuest may be liable for damages or fines, or subject to criminal prosecution, without WellQuest’s knowledge or consent.
Conduct of Practice. HEALTHCARE PRACTICE will be solely and exclusively in control of all aspects of the delivery of healthcare services of HEALTHCARE PRACTICE. The rendition of all healthcare professional services, including, but not limited to, diagnosis, treatment, therapy, and the supervision and preparation of all healthcare reports will be the responsibility of HEALTHCARE PRACTICE. HEALTHCARE PRACTICE will have the sole right and authority to hire, employ, train, supervise, terminate, and compensate all personnel who provide healthcare professional services. Manager will have no authority or obligation with respect to such activities, with respect to the performance of clinical services or with respect to the establishment of fees or charges for the rendition of such services. HEALTHCARE PRACTICE will be responsible for assuring that HEALTHCARE PRACTICE are adequately staffed during normal operating hours with such duly licensed healthcare personnel as may be necessary to efficiently carry out the practice of providing mental health services.
Conduct of Practice. Between the date of the execution of this Stock Purchase Agreement and the Closing, Seller (a) shall carry on the Practice in substantially the same manner as he has previously done, (b) shall use his best efforts to maintain and preserve the assets of Company in good condition and repair, and to prevent the imposition of any liens, security interests, claims, leases, encumbrances, covenants and restrictions of any nature whatsoever on such assets, (c) shall use his best efforts to preserve the Practice and its relationships with all patients and payors, and (d) shall not liquidate or dissolve Company, take any steps to do same, or inform any third person or entity that Company or Seller has done or intends to do the same.

Conduct of Practice. Between the date of the execution of this Stock Purchase Agreement and the Closing, Sellers shall (a) cause the Company to carry on the Practice in substantially the same manner as it has previously done, (b) use their best efforts to maintain and preserve the assets of Company in good condition and repair, and to prevent the imposition of any Liens on such assets, (c) use their best efforts to preserve the Practice and its relationships with all patients and payors, (d) not liquidate or dissolve Company, take any steps to do same, or inform any third person or entity that Company or Sellers have done or intend to do the same, (e) not permit the Company to enter into any material agreements without the written consent of Purchaser, which consent shall not be unreasonably withheld, and (f) not permit the Company to enter into any material transactions not in the ordinary course of business without the written consent of Purchaser, which consent shall not be unreasonably withheld.
