Conduct of Services. 5.1 CONSULTANT shall perform the SERVICES so as to ensure that they meet CLIENT’s requirements and/or specifications as specified within the CONTRACT. 5.2 CONSULTANT recognises and acknowledges that CLIENT places reliance on CONSULTANT for its particular skills, expertise, experience and ability to perform all aspects of the SERVICES. 5.3 CONSULTANT warrants that it shall be suitably qualified and experienced and shall perform the SERVICES independently and in a diligent, skilful and professional manner and in accordance with recognised industry practice. 5.4 In providing information or making any interpretations, recommendations, decisions or directions or giving any advice or otherwise in performing the SERVICES, CONSULTANT undertakes and covenants with CLIENT that it shall exercise such technical, professional and expert skill and care as may be reasonably expected in carrying out its obligations under the CONTRACT. 5.5 CONSULTANT shall work diligently to ensure that the SERVICES are carried out in a timely and efficient manner and in accordance with any timetable set out within Exhibit AScope of Services. 5.6 CONSULTANT, at CONSULTANT’s sole risk and expense, shall be responsible for and shall maintain in good order and condition at all times, all DATA and all materials, supplies and items of equipment supplied to CONSULTANT by CLIENT and those materials, supplies and items of equipment provided and/or used by CONSULTANT. CONSULTANT shall apply such DATA protection measures and performance as set out at Clause 21 of this CONTRACT. 5.7 CLIENT reserves the right to re-schedule the order, timing and sequence for performance of the SERVICES subject to agreeing an AMENDMENT where applicable in accordance with the provisions of Clause 7 of this CONTRACT. 5.8 The interests of CONSULTANT shall not conflict with those of CLIENT. CONSULTANT shall disclose any conflict of interest which would prejudice the performance of the SERVICES. Where there is a conflict of interest, CLIENT reserves the right to request CONSULTANT to cease providing SERVICES to CLIENT with immediate effect. 5.9 CLIENT shall have no obligation to offer CONSULTANT future work and there shall be no obligation on CONSULTANT to accept any offers of future work which CLIENT may make to CONSULTANT.
Conduct of Services. Consultant shall dedicate such reasonable time and efforts as may be required in order to fulfil its obligations hereunder. The Consultant represents and warrants to IMI that it shall provide the services described herein in a cooperative fashion, promptly, efficiently in accordance with standards of quality acceptable to IMI acting reasonably, and in a good and workmanlike manner.

Conduct of Services. 2.1. Company will maintain industry standards of professional conduct in the performance of the Services and in the preparation of all related reports. Company and Sponsor will adhere to all material government laws, rules and regulations applicable to the Services (“Applicable Law”). If applicable, and as set forth in the SOW, Company will perform the Study in compliance with the current good laboratory practices or the current good manufacturing practices of the appropriate governmental regulatory agencies. 2.2. In addition to the terms and conditions contained herein, all purchases of research models and services related thereto shall be made in accordance with the terms and conditions set forth on Exhibit B attached hereto and made a part hereof. 2.3. Company will perform the Services in accordance with the SOW, which may be amended from time to time upon the mutual agreement of Company and Sponsor. Company agrees not to intentionally change or deviate in any material manner from the SOW without Sponsor’s prior approval. Deviations from the SOW may be made in an emergency without Sponsor’s approval, provided that Company shall use commercially reasonable efforts to obtain Sponsor’s verbal approval, which shall be subsequently confirmed by Sponsor in writing. The parties acknowledge that during the course of performing the Study in accordance with the SOW, additional costs may be incurred by Company as a result of procedural changes which do not amount to or require a change in the SOW, but which are deemed necessary by Company to successfully perform said Study, and which could not be foreseen at the time of the preparation of the SOW. If such procedural changes occur, Company shall advise the Sponsor prior to their implementation and solicit the Sponsor's agreement as to the necessity and additional cost thereof. Should Company be unable to contact the Sponsor in advance, the Sponsor agrees that in order to maintain the integrity of the Study, Company may proceed accordingly and be entitled to recover such additional costs, provided such costs do not exceed 5% of total Study cost, from the Sponsor upon presentation of an explanation of such procedural changes and the necessity thereof 2.4. Nothing in this Agreement prevents Company from carrying out similar services for any other party, provided that such services will not conflict with the provision of Services under this Agreement, including, but not limited to, using any of Sponsor’s Confidential I...
Conduct of Services. A. The Firm, in undertaking its obligations under this Agreement, shall exercise due diligence and care. The Firm shall be liable to MOTIE to the extent imposed by applicable law for any damages or other losses to MOTIE that are proximately caused by the Firm’s negligent perfonnance of services under this Agreement, and any such liability shall be further subject, as applicable, to any rules governing law firm liability for negligence, and any offsets, reductions or other limitations thereto, under the laws of the District of Columbia.
