Conduct Pending the Closing Date. From the date of this Agreement to the Closing Date: (a) the Owner shall cause Target to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) the Owner shall promptly notify MHC of any event, condition or circumstance that would constitute a violation or breach of this Agreement by Owner or Target.
Conduct Pending the Closing Date. From the date of this Agreement to the Closing Date: (a) the Owners shall cause SBS to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) the Owners shall promptly notify GMCI of any event, condition or circumstance that would constitute a violation or breach of this Agreement by the Owners.
Conduct Pending the Closing Date. From the date of this Agreement to the Closing Date: (a) FatBrain shall use its reasonable commercial efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) FatBrain shall promptly notify LZGI of any event, condition or circumstance that would constitute a violation or breach of this Agreement by FatBrain.
Conduct Pending the Closing Date. From the date of this Agreement to the Closing Date: (a) RH shall use its best efforts to cause Amazonia to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) RH shall promptly notify BRZG of any event, condition or circumstance occurring from the date of this Agreement to the Closing Date that would constitute a violation or breach of this Agreement by RH.
Conduct Pending the Closing Date. From the date of this Agreement to the Closing Date: (a) VEST shall use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) VEST shall promptly notify FFC of any event, condition or circumstance that would constitute a violation or breach of this Agreement by VEST.

From the date of this Agreement to the Closing Date: (a) Purchasers shall cause the Subsidiary to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) Purchasers shall promptly notify Medico of any event, condition or circumstance that would constitute a violation or breach of this Agreement by Purchasers.

From the date of this Agreement to the Closing Date: (a) the Owners shall cause each of XXX.XX to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) the Owners shall promptly notify XXX.XX of any event, condition or circumstance that would constitute a violation or breach of this Agreement by any of the Owners.
Conduct Pending the Closing Date. From the date of this Agreement to the Closing Date: (a) the Sellers shall use their best efforts to cause Explore to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) the Sellers shall promptly notify Pubco of any event, condition or circumstance occurring from the date of this Agreement to the Closing Date that would constitute a violation or breach of this Agreement by the Sellers.

From the date of this Agreement to the Closing Date: (a) the Owner shall cause GML to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) the Owner shall promptly notify XXXX of any event, condition or circumstance that would constitute a violation or breach of this Agreement by the Owner.

From the date of this Agreement to the Closing Date: (a) SFL shall cause Target to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) SFL shall promptly notify ARXQ of any event, condition or circumstance that would constitute a violation or breach of this Agreement by SFL.
