Conduct Pending the Closing Date. From the date of this Agreement to the Closing Date: (a) OWNERS shall cause Target to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) OWNERS shall promptly notify AGRO of any event, condition or circumstance that would constitute a violation or breach of this Agreement by OWNERS.

From the date of this Agreement to the Closing Date: (a) the Owners shall cause SBS to use its best efforts to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) the Owners shall promptly notify GMCI of any event, condition or circumstance that would constitute a violation or breach of this Agreement by the Owners.

From the date of this Agreement to the Closing Date: (a) RH shall use its best efforts to cause Amazonia to conduct its affairs in such a manner so that, except as otherwise contemplated or permitted by this Agreement, the representations and warranties contained in Article V shall continue to be true and correct on and as of the Closing Date as if made on and as of the Closing Date; and (b) RH shall promptly notify BRZG of any event, condition or circumstance occurring from the date of this Agreement to the Closing Date that would constitute a violation or breach of this Agreement by RH.
