Confidential Information and Materials. All of the Confidential Information and Materials, as defined herein, are and shall continue to be the exclusive confidential property and trade secrets of Corporation. Confidential Information and Materials have been or will be disclosed to Officer solely by virtue of his employment with Corporation and solely for the purpose of assisting him in performing his duties for Corporation. "Confidential Information and Materials" refers to all information belonging to or used by Corporation or Corporation's clients relating to internal operations, procedures and policies, finances, income, profits, business strategies, pricing, billing information, compensation and other personnel information, client contacts, sales lists, employee lists, technology, software source codes, programs, costs, marketing plans, developmental plans, computer programs, computer systems, inventions, developments, personnel manuals, computer program manuals, programs and system designs, and trade secrets of every kind and character, whether or not they constitute a trade secret under applicable law and whether developed by Officer during or after business hours. Officer acknowledges and agrees all Confidential Information and Materials shall, to the extent possible, be considered works made for hire for the Corporation under applicable copyright law. To the extent any Confidential Information and Materials are not deemed to be a work made for hire, Officer hereby assigns to the Corporation any rights he may have or may acquire in such Confidential Information and Materials as they are created, throughout the world, in perpetuity. Further, Officer hereby waives any and all moral rights he may have in such Confidential Information and Materials. Notwithstanding the foregoing, the Corporation acknowledges that it shall have no right to inventions or other material for which no equipment, supplies, facilities or Confidential Information and Material of the Corporation are used and which are developed entirely on Officer's own time and (i) do not relate directly to the business of the Corporation or (ii) do not result from any work performed by Officer hereunder.
Confidential Information and Materials. The Executive acknowledges that by reason of the Executive’s employment with the Company, the Executive has and will hereafter, from time to time during his employment with the Company, become exposed to and/or become knowledgeable about proposals, plans, inventions, practices, systems, programs, subscriptions, strategies, formulas, processes, methods, techniques, research, records, suppliers, sources, customer lists, billing information, any other form of business information and any trade secrets of every kind and character, whether or not they constitute a trade secret under applicable law, which are not known to the Company’s competitors and which are kept secret and confidential by the Company (the “Confidential Information”). The Executive therefore agrees that at no time during or after his employment will he disclose or use the Confidential Information or materials to or with any person, firm, business, corporation, association, or other entity for any reason or purpose except as may be required in the prudent course of business for the sole benefit of the Company, or as may be required by a court order or by law.

Executive hereby agrees and acknowledges that the following ideas, information and materials in written, oral, magnetic, photographic, optical or other form and whether now existing or developed or created during the period of Executive's employment or engagement with the Company (the "Confidential Information") are proprietary to the Company and are highly sensitive in nature:

Executive agrees that during the course of his employment with the Company, he has obtained and shall likely obtain in the future “Confidential Information.” “Confidential Information” is information concerning the Company which the Company attempts to keep confidential, has not been publicly disclosed by the Company, is not a matter of common knowledge in the airline industry, and was not known by Executive prior to his employment by the Company, including, but not limited to, certain information relating to the business plans, trade practices, finances, accounting methods, methods of operations, trade secrets, marketing plans or programs, forecasts, statistics relating to routes and markets, contracts, customers, compensation arrangements, and business opportunities. Executive agrees that the Confidential Information is proprietary to the Company, and agrees to sign and be bound by the terms of the Company’s Proprietary Information and Inventions Agreement (“Proprietary Information Agreement”).
Confidential Information and Materials. Agency and AgentLink covenant and agree that all Secret or Confidential Information and Material (as hereafter defined) disclosed to Agency and AgentLink is the exclusive property of AgentLink and Agency. Agency and AgentLink shall not, during the term of this Agreement or at any time thereafter, disclose to any person, firm or corporation, or publish, or use for any purpose, any Secret or Confidential Information or Material except as properly required in the ordinary course of business of Agency or AgentLink in performing its obligations under this Agreement or as directed and authorized by AgentLink or Agency. Secret or Confidential Information (including Secret or Confidential Information of AgentLink’s and Agency’s affiliates) shall mean information (i) not generally known in the industries in which AgentLink or Agency operates and disclosed to Agency or AgentLink, or (ii) known to Agency or AgentLink as a consequence of or through Agency’s and AgentLink’s association with each other relating to matters of each companies’ business. Confidential Material shall mean any writing of any kind, obtained by Agency or AgentLink as a result of or through Agency’s association with AgentLink, containing any Confidential Information, including, but not limited to, the names and contact information for Agency agents, and shall include but not be limited to, lists of customers, lists of agents, lists of potential customers, lists of potential agents, price lists, operating instructions, forms, manuals, procedures, instructions and explanatory materials. Upon request by AgentLink or Agency at any time, Agency or AgentLink shall deliver to each other all Confidential Material then in the others possession.

Confidential Information and Materials a) Disclosing Party proposes to disclose certain of its confidential and proprietary information (the "Confidential Information") to Receiving Party. Confidential Information could be in any form or media, that is marked or designated by Disclosing Party as being proprietary of confidential and may include, without limitation, information regarding Disclosing Party’s products, technical design and data, computer programs, specifications, manuals, software, marketing plans, business plans, financial information, and other information disclosed or submitted, orally, in writing, or by any other media, to Receiving Party by Disclosing Party.
b) Confidential Information shall not include any information that
(i) is or subsequently becomes publicly available without Receiving Party’s breach of any obligation owed to Disclosing Party;
(ii) became known to Receiving Party prior to Disclosing Party’s disclosure of such information to Receiving Party;
(iii) become known to Receiving Party from a source other than Disclosing Party other than by a breach of an obligation of confidentiality owed to Disclosing Party; or
(iv) is independently developed by Receiving Party without the use of any Confidential Information.
Confidential Information and Materials. (a) For the purposes of this Agreement, "Confidential Information" shall mean any and all technical and non-technical information in any form, including patent, trade secret and proprietary information, techniques, sketches, drawings, models, inventions, know-how, processes, apparatus, equipment, algorithms, software programs, software source documents, and formulae related to current, future and proposed products and services of Adobe and members of the Adobe Group and includes, without limitation, its respective information concerning research, experimental work, development, design details and specifications, engineering, financial information, procurement requirements, purchasing, manufacturing, customer lists, business forecasts, sales and merchandising, and marketing plans and information. Without prejudice to the foregoing generality, "Confidential Information" shall also include any and all information contained in any and all Adobe Databases to which Xxxxx may have access under this Agreement.

Confidential Information and Materials have been or will be disclosed to Officer solely by virtue of his employment with Westport and solely for the purpose of assisting him in performing his duties for Westport. "Confidential Information and Materials" refers to the non-public organization structure and ownership of Westport, its shareholders, its advisors and advisors to its shareholders, its affiliates and the affiliates of any of its shareholders and their advisors and all information belonging to or used by Westport or Westport's clients or associates relating to internal operations, procedures and policies, finances, income, profits, business strategies, pricing, billing information, compensation and other personnel information, client contacts, sales lists, employee lists, geotechnical information of every sort and character, technology, land status, exploration and acquisition plans and programs, costs, marketing plans, developmental plans, drilling plans, inventions, computer program manuals, computer programs, and computer system designs (to the extent such manuals, programs and designs are created by or for Westport and are not off-the-shelf manuals, programs and designs) and trade secrets of every kind and character, whether or not they constitute a trade secret under applicable law and whether developed by Officer during or after business hours.
