Confidential Information means any confidential, non-public or proprietary information relating to the business, assets or affairs of the Group; and
Confidential Information means. (a) information of a party (disclosing party) that is:
(i) made available by or on behalf of the disclosing party to the other party (receiving party), or is otherwise obtained by or on behalf of the receiving party; and
(ii) by its nature confidential or the receiving party knows, or ought reasonably to know, is confidential. Confidential Information may be made available or obtained directly or indirectly, and before, on or after the date of this document. Confidential Information does not include information that:
(a) is in or enters the public domain through no fault of the receiving party or any of its officers, employees or agents;
(b) is or was made available to the receiving party by a person (other than the disclosing party) who is not or was not then under an obligation of confidence to the disclosing party in relation to that information; or
Confidential Information means information that ought to be considered as confidential (however it is conveyed or on whatever media it is stored) and may include information whose disclosure would, or would be likely to, prejudice the commercial interests of any person, trade secrets, Intellectual Property Rights and know-how of either party and all personal data and sensitive personal data within the meaning of the Data Protection Xxx 0000; and
Confidential Information means. (a) Any non-public technical or business information of a Party that is disclosed in writing and is conspicuously designated as “Confidential” at the time of disclosure or that is disclosed orally, is identified as “Confidential” at the time of disclosure, and is summarized in a writing sent by the disclosing Party to the receiving Party within thirty (30) days of any such disclosure.
Confidential Information means this AES Agreement;
Confidential Information means a. The existence and the substance of the Agreement; and / or
b. Any information about a party that is or may come into possession of the other party during the preparation and the performance of the Agreement; and / or
c. Any information that is indicated as confidential by a party; and / or
d. Any information about or received from the other party or third party in connection with the execution of the Agreement, which can reasonably be expected by the receiving party to be confidential.
Confidential Information means. (a) information of a party (disclosing party) that is:
(i) made available by or on behalf of the disclosing party to the other party (receiving party), or is otherwise obtained by or on behalf of the receiving party; and
(ii) by its nature confidential or the receiving party knows, or ought reasonably to know, is confidential. Confidential Information may be made available or obtained directly or indirectly, and before, on or after the date of this document. Confidential Information does not include information that:
(a) is in or enters the public domain through no fault of the receiving party or any of its officers, employees or agents;
(b) is or was made available to the receiving party by a person (other than the disclosing party) who is not or was not then under an obligation of confidence to the disclosing party in relation to that information; or
(c) is or was developed by the receiving party independently of the disclosing party and any of its officers, employees or agents. Contamination has the meaning given to that word in the Contaminated Land Management Xxx 0000 (NSW). Corporations Act means the Corporations Xxx 0000 (Cth). Dealing means selling, transferring, assigning, novating, mortgaging, charging, or encumbering and, where appearing, Deal has the same meaning.
Confidential Information means. (i) information relating to the provisions of, and negotiations leading to, this Agreement and the other Transaction Documents;
(ii) (in relation to the obligations of the Purchaser) any information received or held by the Purchaser (or any of its Representatives) relating to the Seller Group or, before Closing, any of the Target Companies; and
(iii) (in relation to the obligations of the Seller) any information received or held by the Seller (or any of its Representatives) relating to the Purchaser Group or, following Closing, any of the Target Companies, and includes written information and information transferred or obtained orally, visually, electronically or by any other means and any information which the Party has determined from information it has received including any forecasts or projections.
Confidential Information means i) any data of a personal or sensitive nature included in the Historion® Database; and
ii) any of the Software’s source code or object code;
