Common use of Confirmation of Representations Clause in Contracts

Confirmation of Representations. Borrower shall deliver, in connection with any Lender Transaction, (a) one or more Officer's Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the closing of such Lender Transaction in all relevant jurisdictions, and (b) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower, Principal and the Pledgor SPE Entities as of the date of the closing of such Lender Transaction.

Borrower shall deliver, at the request of Lender, in connection with any Lender TransactionSecuritization, (ai) one or more Officer's Certificates certifying as to the accuracy of all representations made by Borrower in the Loan Documents as of the date of the closing of such Lender Secondary Market Transaction in all relevant jurisdictions, and (bii) certificates of the relevant Governmental Authorities in all relevant jurisdictions indicating the good standing and qualification of Borrower, Principal Borrower and the Pledgor SPE Entities its general partner as of the date of the closing of such Lender Secondary Market Transaction.
