Conformed Credit Agreement. For purposes of reference and convenience only, attached as Exhibit B hereto is an unofficial conformed copy of the Credit Agreement (with stricken text indicated textually in the same manner as the following example: stricken text and added text indicated textually in the same manner as the following example: double- underlined text) which contains the changes to the Credit Agreement resulting from the effectiveness of the 2024A New Dollar Term Loans. In the event of a conflict between the attached conformed Credit Agreement and this Agreement, this Agreement shall control.
Conformed Credit Agreement. Borrowers and Agent hereby acknowledge and agree that the Conformed Credit Agreement attached hereto as Exhibit A is a true, complete and correct version of the Credit Agreement as amended through the date immediately preceding the date hereof.
Conformed Credit Agreement. For purposes of reference and convenience only, attached as Exhibit B hereto is an unofficial conformed copy of the Credit Agreement which contains the changes to the Credit Agreement implemented by that certain First Amendment to Credit Agreement dated as of February 3, 2011 and reflecting the changes resulting from the effectiveness of the Second Amendment (with, with respect to such changes, stricken text is indicated textually in the same manner as the following example: stricken text, and where added text is indicated textually in the same manner as the following example: double-underlined text). In the event of a conflict between the attached conformed Credit Agreement and this Amendment, this Amendment shall control.
Conformed Credit Agreement. The Original Credit Agreement is hereby amended in such a manner as to incorporate all amendments, insertions and deletions required to conform the Original Credit Agreement to the form attached hereto as Attachment 3.

For the avoidance of doubt, when used in this clause (z) “compliance with all applicable requirements of law” means such Receivable was created, solicited, entered into, serviced and exists in conformity with each law, treaty, rule, regulation, guidance, guideline, directive or determination of an arbitrator or a court or other Governmental Authority, in each case, applicable to or binding upon any relevant Person or any of its property or to which such Person or any of its property is subject, including, without limitation, where any applicable local, state or federal law provides for or could reasonably be construed to provide for a less onerous or restrictive standard than others and whether or not such opposing standards are being properly contested, challenged or otherwise litigated.
Conformed Credit Agreement. 227178428 Document a fiduciary relationship in respect of any Lender. Each Lender shall make its own independent investigation of the financial condition and affairs of Borrower and Guarantors in connection with the extension of credit hereunder and shall make its own appraisal of the creditworthiness of Borrower and Guarantors. Except for information, notices, reports and other documents expressly required to be furnished to Lenders by Administrative Agent hereunder or given to Administrative Agent for the account of, or with copies for, Lenders, Administrative Agent shall have no duty or responsibility, either initially or on a continuing basis, to provide any Lender with any credit or other information with respect thereto, whether coming into its possession before the Closing Date or at any time or times thereafter. If Administrative Agent seeks the consent or approval of any Lenders to the taking or refraining from taking any action hereunder, then Administrative Agent shall send prior written notice thereof to each Lender. Administrative Agent shall promptly notify each Lender in writing any time that the applicable percentage of Lenders have instructed Administrative Agent to act or refrain from acting pursuant hereto.
Conformed Credit Agreement. 227178428 Agreement or the other Basic Documents, or any act, omission or event related thereto, Administrative Agent may act in any manner it may deem appropriate, in its discretion, given Administrative Agent’s own interest in Collateral covered by this Agreement or the Basic Documents and Administrative Agent shall have no duty or liability whatsoever to any of the other Lenders; provided, that Administrative Agent shall exercise the same care which it would in dealing with financial assets for its own account.
Conformed Credit Agreement. 227178428 available for inspection by the Borrower, and any Lender, at any reasonable time and from time to time upon reasonable prior notice.
Conformed Credit Agreement. 227178428 purpose as a non-fiduciary agent of the Borrower, maintain a register on which it enters the name and address of each Participant and the principal amounts (and stated interest) of each Participant’s interest in the Advances or other obligations under the Basic Documents (the “Participant Register”); provided that no Lender shall have any obligation to disclose all or any portion of the Participant Register (including the identity of any Participant or any information relating to a Participant’s interest in any commitments, loans, letters of credit or its other obligations under any Basic Document) to any Person except to the extent that such disclosure is necessary to establish that such commitment, loan, letter of credit or other obligation is in registered form under Section 5f.103-1(c) of the United States Treasury Regulations. The entries in the Participant Register shall be conclusive absent manifest error, and such Lender shall treat each Person whose name is recorded in the Participant Register as the owner of such participation for all purposes of this Agreement notwithstanding any notice to the contrary.
Conformed Credit Agreement. 227178428 is the subject of any Basic Document may be granted or withheld by Administrative Agent, as applicable, in its sole and absolute discretion.
