Common use of Consent and Voting Agreement Clause in Contracts

Consent and Voting Agreement. Each Stockholder hereby (a) irrevocably consents to the execution and delivery of this Agreement and to the consummation of the Merger and shall contemporaneously herewith execute the written consent attached hereto as EXHIBIT 2.01A (the "CONSENT"), and (b) as long as this Agreement has not been terminated prior to the date specified in Section 8.01(f), further irrevocably agrees to vote all Company Common Stock as to which such Stockholder is entitled to vote at a meeting of the stockholders of the Company if any meeting is so held, or by written consent without a meeting as follows:
