Consent Decree. Approval by the applicable Governmental Authorities to the substitution of Buyer for Seller under the Consent Decree; the release of Seller from all obligations under the Consent Decree; and replacement of the Financial Assurance Amount by Buyer as contemplated by Section 6.10 (or, in lieu thereof in the event required by the applicable Governmental Authorities, the transfer of all right, title and interest to the Financial Assurance Amount to Buyer), shall have been obtained.
Consent Decree. Buyer acknowledges that Buyer has had the opportunity to review the Consent Decree in U.S. v.
Consent Decree. During the Lease Term, the Lessee shall not petition any court to be released from the Consent Decree with respect to the Undivided Interest unless such petition requests that the Lessor shall also be released.
Consent Decree. The Contractor acknowledges that the Services are being performed pursuant to and that Contractor is subject to the provisions of the Consent Decree, specifically including but not limited to paragraph 484 of the Consent Decree. Consistent with paragraph 445 of the Consent Decree, Contractor shall be subject to the supervision and orders of
Consent Decree. Buyer acknowledges that the conditions to the consummation of the transactions contemplated by this Agreement may not be satisfied or waived at the Effective Time (as defined in the Merger Agreement) and that the Consent Decree effectively requires Parent in connection with the consummation of the Merger to transfer the Shares to a Person to hold the Shares following the Effective Time for the primary purpose of disposing of the Shares (a "Permitted Shares Transferee"). Buyer agrees that Seller may, subject to Section 10.4, assign title to the Shares to a Permitted Shares Transferee in accordance with the terms of the Consent Decree. Buyer acknowledges that it has been provided with a copy of the Consent Decree and agrees to be bound by the provisions of Section X thereof as if Buyer were a "defendant" therein. Buyer agrees that, notwithstanding anything else in this Agreement to the contrary, to the extent Seller, the Companies or their Subsidiaries are required to take or forbear from taking, any action in connection with the requirements of the Consent Decree or to avoid acting in violation of the Consent Decree, and such action or forbearance would otherwise violate this Agreement, such action or forbearance shall not be deemed to constitute a violation of this Agreement for any purpose other than Article VII.
Consent Decree. The execution and delivery of this Agreement, and the consummation of the transactions contemplated hereby, will not violate the terms of the Consent Decree (as defined herein).
Consent Decree. (a) The El Dorado Refinery is subject to a Clean Air Act consent decree (the “El Dorado Consent Decree”) entered by the U.S. District Court in Kansas. The Parties agree that following the Closing, El Dorado Logistics will assume responsibility for complying with the terms and conditions of the El Dorado Consent Decree that apply to the El Dorado Assets. The Parties also agree to execute and submit to the U.S. District Court in Kansas, a modification of the El Dorado Consent Decree that makes binding upon El Dorado Logistics all of the terms and conditions of the El Dorado Consent Decree that are applicable to the El Dorado Assets and that releases Frontier El Dorado from the post-transfer obligations and liabilities of the El Dorado Consent Decree applicable to the El Dorado Assets.
Consent Decree. Provide to Agent written status updates with respect to the Consent Decree and Consent Decree Event and any other pending governmental and/or regulatory investigations and proceedings involving the Company or any of its Subsidiaries promptly following request therefor by Agent.
