Consent of Lenders, Lessors and Other Third Parties. The --------------------------------------------------- Stockholders and the Company shall have received all requisite consents and approvals of all lenders, lessors and other third parties whose consent or approval is required in order for the Stockholders and the Company to consummate the transactions contemplated by this Agreement.
Consent of Lenders, Lessors and Other Third Parties. The Seller Parties shall obtain all requisite consents and approvals of all lenders, lessors and other Persons whose consent or approval is required in order for Company to consummate the Transactions, including the assignment to Buyer of the Assumed Contracts and the other consents that are set forth on Schedule 3.5.

The Seller, PGL, Teberebie and PGI shall have received all requisite consents and approvals of all lenders, lessors and other third parties whose consent or approval is required in order for the Sellers, PGL and Teberebie to consummate the transactions contemplated by this Agreement, including, without limitation, those set forth on Schedule 4.4.

In addition, except as set forth on Schedule 6.4, there shall be no Liens on the assets of the Company and the Company shall deliver termination statements in forms acceptable to the Buyer with respect to each security interest or other encumbrance outstanding in or on the assets of the Company.

Vista and the Stockholders shall have received all requisite consents and approvals of all lenders, lessors and other third parties whose consent or approval is required in order for Vista and the Stockholders to consummate the Merger and the other transactions contemplated by this Agreement and Plan of Merger, including, without limitation, those set forth on Schedule 3.04 attached ------------- hereto.

The Ultimate Parent, the Seller and the Company shall have received all requisite consents and approvals of all lenders, lessors and other third parties set forth on Schedule 9.04 attached hereto, whose consent or approval is required in order for the Ultimate Parent, the Seller and the Company to consummate the transactions contemplated by this Agreement.

The Sellers and the Company shall have received all requisite consents and approvals of all third parties whose consent or approval is required in order for the Sellers and the Company to consummate the transactions contemplated by this Agreement, including without limitation, those set forth on SCHEDULE 2.8 attached hereto.

The Shareholders, SHRG and SAS shall have received all requisite consents and approvals of all lenders, lessors and other third parties whose consent or approval is required in order for the Shareholders, SHRG and SAS to consummate the transactions contemplated by this Agreement, including without limitation, those set forth in Section 3.04 of the Disclosure Schedule attached hereto.
