Construction and Headings Clause Samples

The Construction and Headings clause clarifies how the contract should be interpreted and how section headings are to be treated. Typically, it states that headings are included for convenience only and do not affect the meaning or interpretation of the contract’s provisions. This ensures that the substantive rights and obligations of the parties are determined solely by the contract’s text, preventing any confusion or disputes arising from the use or placement of headings.
