Consultants and Contractors. Subject to Section 13.2 (Special 301 Report), Licensee may use its consultants and contractors to exercise its rights and fulfill its obligations under this Agreement, if those parties are subject to the same obligations as Licensee. Licensee is liable for those parties’ acts and omissions.

Consultants and Contractors. The UN Partner will put together a team of qualified Staff, Consultants and Contractors as, in the UN Partner’s judgment, are required to carry out the Technical Assistance. The Parties acknowledge that at the time of the signing of this Agreement, the UN Partner may not have been able to identify and/or contract Consultants and Contractors. In such case, the UN Partner will promptly provide names and Curriculum Vitae (CV) to the Government once they are contracted by the UN Partner. The UN Partner shall remain fully responsible for the performance of the Technical Assistance by its assigned team. The hiring and contracting of any Staff, Consultant or Contractor by the UN Partner in connection with this Agreement will be done according to the UN Partner’s regulations, rules, policies and procedures, and bearing in mind the considerations and requirements of the Bank that are listed below: Prohibition of Conflicting Activities. Staff, Consultants and Contractors will not engage, either directly or indirectly, in any business or professional activities which could conflict with the activities performed under their respective contract with the UN Partner.

Consultants and Contractors. Consultants and independent contractors working for CRS are not employees and so their terms of service shall be outlined in a consultancy agreement reviewed, processed, and approved through HQ/Baltimore Human Resources or local Country Program policy. Consultants and Contractors. Confidential Information may be disclosed by PHILIPS to its consultants and contractors performing work or services for PHILIPS in accordance with the scope of this Agreement, provided that such consultants and contractors are subject to a valid, binding and enforceable agreement to maintain the obligations of confidentiality no less restrictive than those set forth in this Section 7.
Consultants and Contractors. The recipient will be permitted to share the disclosing party’s Confidential Information with Third Parties who are obligated by written agreement (a) to keep the recipient’s and the disclosing party’s Confidential Information confidential on terms at least as restrictive as this Article 5, (b) not to disclose any such Confidential Information to any other person or entity and (c) to assign or exclusively license all of its rights in any inventions and discoveries arising from such Confidential Information to the party to the agreement (either Monsanto or Ceres).
