Consulting and Non-Competition Agreements. Each of Messrs. Rossin and Xxxxxxxx shall have executed and delivered Consulting and Non-Competition Agreements with DI and CTC in substantially the forms attached hereto as Exhibits B-1 ------------ and B-2, respectively. ---
Consulting and Non-Competition Agreements. Company shall have delivered to Buyer (i) a non-competition and non-solicitation agreement in the form set forth on Exhibit F from Xxxx X. Xxxxxxx and (ii) a consulting, non-competition and non-solicitation agreement in the form set forth on Exhibit G from Xxxxxxx X. Xxxxxxxxx.
Consulting and Non-Competition Agreements. Prior to the Closing, each Shareholder listed on Exhibit A shall deliver to Purchaser a duly executed Consulting Agreement between the Australian Companies he is a principal to and Shareholders shall use all reasonable efforts to deliver or cause to be delivered to Purchaser a duly executed Consulting Agreement from each individual listed on Exhibit A. Prior to Closing, Shareholders and such companies shall deliver duly executed Consulting Agreements.

Xxxxx xxxer such agreements shall be as determined to be fair and reasonable by a third party expert selected by Seller and approved by Buyer, which approval shall not be unreasonably withheld.
Consulting and Non-Competition Agreements. Simultaneously with the execution of this Agreement, Parent and the persons set forth on Schedule 5.16 are executing Non-Competition and Consulting Agreements in the form of Exhibits E-1, E-2 and F hereof.

Leight shall have entered into a Consulting and Non-Competxxxxx Xxxxxxxxx, in the form attached hereto as Exhibit B, pursuant to which such Person agrees not, to engage, either directly or indirectly, in any business competitive with the Business anywhere in the world for a period of five years.
