Consulting and Non-Competition Agreements. Each of CTC and DI shall have executed and delivered the Consulting and Non-Competition Agreements with Messrs. Rossin and Xxxxxxxx in substantially the forms attached hereto as Exhibits B-1 and B-2, respectively.
Consulting and Non-Competition Agreements. Company shall have delivered to Buyer (i) a non-competition and non-solicitation agreement in the form set forth on Exhibit F from Xxxx X. Consulting and Non-Competition Agreements. Prior to the Closing, each Shareholder listed on Exhibit A shall deliver to Purchaser a duly executed Consulting Agreement between the Australian Companies he is a principal to and Shareholders shall use all reasonable efforts to deliver or cause to be delivered to Purchaser a duly executed Consulting Agreement from each individual listed on Exhibit A. Prior to Closing, Shareholders and such companies shall deliver duly executed Consulting Agreements. 6.9
Consulting and Non-Competition Agreements. The Consulting and Non-Competition Agreements shall be and remain in full force and effect as of and through the Closing other than as a result of death.

Xxxxx xxxer such agreements shall be as determined to be fair and reasonable by a third party expert selected by Seller and approved by Buyer, which approval shall not be unreasonably withheld.
