Consulting Engineer. An environmental consulting firm reasonably acceptable to the Administrative Agent. Credit Agreement. This Amended and Restated Revolving Credit Agreement, including the Schedules and Exhibits hereto.
Consulting Engineer. An environmental consulting firm acceptable to the Banks. Conversion Request. A notice given by the Borrowers to the Agent of the Borrowers' election to convert or continue a Loan in accordance with ss.5.12. Default. See ss.13.
Consulting Engineer. The Owner shall employ, at its own expense, a Consulting Engineer registered by the Professional Engineers of Ontario:
a) to design and submit to the Director of Infrastructure drawings of,
b) to prepare and administer any contract necessary for the construction of,
c) to obtain from municipal, provincial and federal authorities any approvals necessary for,
d) to submit to the Director of Infrastructure Services, prior to the commencement of construction, a report showing existing elevations and the proposed method of drainage of the lands served by,
e) to be responsible for all survey and layout work required for construction of,
f) to maintain for the client's purposes all records of construction of,
g) to submit to the Director of Infrastructure Services all required as-built details, elevations, and drawings in mylar copy and digital data in copy format, as well as details of private drain connections of,
h) to be responsible for the co-ordination of, and
i) to visit the site of the said works as requested by the Director of Infrastructure Services for any reason related to, the completion in good practise of all services required under this Agreement.
Consulting Engineer. The Owner shall retain or employ, at the Owner’s expense, an engineer registered by the Association of Professional Engineers of Ontario to perform the following:
a) Design and submit to the Town, engineering drawings of all services required under this Agreement;
b) Prepare any contracts necessary for the construction of all services required under this Agreement;
c) Forward requisite documentation to obtain from municipal, provincial and federal authorities any approvals necessary for all services required under this Agreement;
d) Submit to the Town, prior to the commencement of any construction, A report showing existing elevations and the proposed method of drainage of the lands served by all services required under this Agreement;
e) Arrange for all survey and layout work required for the construction for all services required under this Agreement;
f) Maintain all records of construction of all services required under this Agreement;
g) Submit to the Town all required record drawings of all details, elevations and drawing of all services required under this Agreement;
h) Be responsible for the coordination of all services required under this Agreement; and
i) Visit the site of the said works as requested by the Town for any reasons related to all services required under this Agreement; all in accordance with the Development Manual that is in force and effect at the date of construction.
Consulting Engineer. The City will submit over the life of the Loan sufficient information as is reasonably requested by the Department to demonstrate that the City has legal, institutional, managerial and financial capability to ensure the construction, operation and maintenance of the Project and the System and the repayment of the Loan, interest and administrative fees. To this end, the City may retain an Engineer for the purpose of providing the City with continuous engineering counsel in the operation of the System. Any such Engineer shall be retained under contract at such reasonable compensation as may be fixed by the City, and the payment of such compensation shall be considered to be one of the costs of maintaining and operating the System. Any such Engineer may be replaced at any time by another Engineer appointed or retained by the City upon written notice to the Department. Upon the occurrence of an Event of Default, or if requested in writing by the Department, the City shall prepare, or shall have the Engineer prepare within one hundred eighty (180) days after the close of each Fiscal Year a comprehensive operating report which shall report upon the operation of the System during the preceding Fiscal Year, the maintenance of the properties, the efficiency of the management of the property, the proper and adequate keeping of the books of account and record, the adherence to budget and budgetary control provisions, all matters bearing upon the sufficient and profitable operation of the System, and shall include whatever criticism of any phase of the operation of the System the City or the Engineer, as the case may be, may deem proper and such recommendation as to changes in the operation and the making of repairs, renewals, replacements, extensions, betterments and improvements as the City or Engineer may deem proper. Copies of such report shall be furnished to the Department upon written request. It shall be the duty of the Engineer, if retained in accordance with this Section, to determine the economic soundness or feasibility of any extensions, betterments, improvements, expenditures or purchases of equipment and materials or supplies, which will involve the expenditure of more than Twenty-Five Thousand Dollars ($25,000), whether in one or more than one order, and whether from funds on deposit in the Contingencies Fund.
Consulting Engineer. MHOG may maintain a consulting engineer (the “Consulting Engineer”). The consulting engineer shall perform such duties and responsibilities as are directed from time to time by the Board of the Authority, the Authority Director, or the Authority Engineer. The consulting engineer must have the following capabilities to serve as the consulting engineer: Ability to maintain and utilize a water model which accurately describes the System for the purpose of modeling improvements, performing impact determinations, and fire flow conditions. Ability to maintain, utilize, and update the current GIS database of the System’s Common Elements and Local Distribution Elements. Maintain an experienced Professional Engineering staff familiar with water system distribution and water plant design in the State of Michigan.
Consulting Engineer. The Developer shall employ a Consulting Engineer, approved by the City. The Consulting Engineer shall:
a) Design all the Works covered by this Agreement;
b) File with the City a written undertaking:
i. That she/he has been engaged by the Developers to supervise the Work and will complete the Work as required by this Agreement;
ii. That the Work will be done in accordance with the approved contract drawings and specifications and all other provisions of this Agreement; and,
iii. That all phases of the Work are subject to the approval of the City;
c) Complete a pre-construction survey of all abutting properties;
d) Conduct such soil tests as may be required by the City;
Consulting Engineer. The Developer shall employ a Professional Engineer who is a member in good standing of The Association of Professional Engineers, Geologists and Geophysicists of Alberta, and who is licensed to practice engineering in the Province of Alberta (hereinafter called the "Consulting Engineer") to design and supervise all Work to be carried out under this Agreement by or at the expense of the Developer. The Consulting Engineer is deemed to be an agent of the Developer for the purposes of this Agreement. The Developer shall ensure that all materials supplied and all Work performed conforms in all respects to the City's specifications and designs, or as otherwise deemed acceptable by the Director, Calgary Approvals Coordination, and shall require the Consulting Engineer to certify such conformance on behalf of the Developer.
