Contents of Demand Registration Notice. Each Demand Registration Notice sent by any Demanding Notice Holder(s) must state the following: (i) the name of, and contact information for, each such Demanding Notice Holder(s) and the number of the Registrable Securities that are outstanding and were issued upon conversion of the Loan that was issued pursuant to the Loan Agreement; (ii) the desired date of the Offering Launch Time for the requested Demand Underwritten Offering, which desired date cannot (without the Borrower’s consent, which will not be unreasonably withheld or delayed) be earlier than ten (10) Business Days after the date such Demand Registration Notice is delivered to the Borrower; (iii) the number of Registrable Securities that are proposed to be sold by each such Demanding Notice Holder; and (iv) if the intended method of disposition is an Un-Marketed Block Trade.
