Contract Construction Interpretation and Enforcement Provisions. (a) Assignment Neither party may assign this Agreement without the other's written consent. Nevertheless: AmeriPath may assign this Agreement to a parent, subsidiary or affiliate. This Agreement shall be binding on and shall inure to the benefit of the parties to this Agreement, and their successors and permitted assigns. Subject to the foregoing sentence, no person or entity not a party to this Agreement shall have any right under or by virtue of this Agreement, except for AmeriPath, Inc. as an intended third party beneficiary of this Agreement. (b) Captions The captions or headings in this Agreement are made for convenience and general reference only and shall not be construed to describe, define or limit the scope or intent of the provisions of this Agreement.
