CONTRACTING PROCESS. A. The JBE may contract to procure Contractor’s products and services by attaching and incorporating a Statement of Work to a Participating Addendum and any other necessary ordering documents. The JBE should use the model Statement of Work set forth in Exhibit 6 of the Master Agreement as the starting point for negotiations with the Contractor.
B. The finalized Statement of Work will reference the Master Agreement and will list and describe all of the requested services and respective pricing.
C. The terms and conditions of the Master Agreement shall take precedence over the terms and conditions of any Statement of Work, Participating Addendum, invoice or like document unless modification are permitted by the specific provisions of the Master Agreement.
CONTRACTING PROCESS. Representative shall negotiate, on behalf of Knicks, LLC, sponsorship agreements that provide for the sale of, payment for and delivery of Team Sponsorship Assets. Such agreements, as well as any sponsorship agreements in existence as of the Effective Date that include Team Sponsorship Assets, shall hereinafter be referred to as “Sponsorship Agreements.” Representative shall make commercially reasonable, good faith efforts to ensure that the appropriate Knicks-specific entity is the direct contracting party with all sponsors with respect to whom the sponsorship assets purchased are exclusively such Team’s assets, and that NYK, LLC, or its parent, MSG Sports, LLC, is the direct contracting party with all sponsors with respect to whom the sponsorship assets purchased are exclusively or primarily Team Sponsorship Assets of more than one Team, and payments shall be made directly from the sponsor to such Knicks-specific entity, NYK, LLC or MSG Sports, LLC, as applicable, in such instances, subject to the final sentence of this subsection (a). Where Representative is unable to effect that outcome, or where Team Sponsorship Assets are included in multi-property deals that do not consist exclusively or primarily of Team Sponsorship Assets, Representative shall make commercially reasonable, good faith efforts to include applicable Team entities and/or NYK, LLC as express third-party beneficiaries in any such agreements entered into during the Term. It is agreed and acknowledged that Sponsorship Agreements that are entered into by NYK, LLC, MSG Sports, LLC or any other Knicks-specific entity that include Arena Game Shared Sponsorship Assets, Non-Team Sponsorship Assets and/or, during the term of the Network Rep Agreement, Broadcast Advertising Inventory shall be subject to the payment of appropriate allocations with respect to all revenue related to such assets, which allocations shall be agreed upon by the parties in advance of Knicks, LLC’s approval of any such Sponsorship Agreement and set forth in Schedule 2 of the Team Sponsorship Allocation Agreement (defined in Section 3.3 below).
CONTRACTING PROCESS. On March 25, 2021, Public Works issued a Request for Proposals (RFPs) for on-call surveying and related services for federally and non-federally funded projects. The enclosed RFP notification was posted on the County's "Doing Business with the County" website (Enclosure B), Public Works' "Do Business with Public Works" website, and Twitter. In addition, advertisements were placed in the Los Angeles Daily Journal, Los Angeles Sentinel, La Opinión, Malibu Times, Pasadena Star News, Press Telegram, Santa Xxxxxx Daily Press, Daily Breeze, The Signal, and Xxxxx Times newspapers. Also, Public Works informed 1,654 Local Small Business Enterprises, 881 Community Business Enterprises, 189 Social Enterprises, and 192 Disabled Veteran Owned Business Enterprises about this business opportunity. Twenty-six firms registered on the "Public Works Contract Opportunities" website for this RFP. On May 11, 2021, four firms submitted proposals. An evaluation committee, composed of Public Works' technical staff, evaluated the proposals as outlined in the RFP, including technical expertise, proposed work plan, experience, personnel, qualifications, price, and understanding of the work requirements. Based on the evaluation of the proposals, Stantec Consulting Services, Inc., was selected as the best qualified firm to provide the required services. Public Works has determined that Stantec Consulting Services, Inc., proposed rates for performing the services are reasonable. Stantec Consulting Services, Inc.'s 3-year contracting history is on file with Public Works. The recommended consultant services agreement requires that the consultant demonstrates its good faith efforts to utilize Disadvantaged Business Enterprises. Public Works has evaluated and determined that Los Angeles County CodeChapter 2.201 (Living Wage Program) does not apply to the recommended agreement. This agreement is exempt from the requirements of Proposition A of Los Angeles County Code Chapter 2.121 because the services are required on a part-time and intermittent basis. Public Works notified the Union on this solicitation. The consultant services agreement includes a cost-of-living adjustment provision in accordance with the Board's Policy No. 5.070 (Multi-Year Services Contract Cost-of-Living Adjustments).
CONTRACTING PROCESS. The contracting process is as follows:
a. The Registered User must access ShareCRF and click on the button designed to create a study.
b. You must then enter the information that may be required for the purposes of the study, and, after accepting these General Contract Conditions, generate the study.
c. Once this is done, Xxxxxxx will confirm the acceptance of these Conditions by the Client.
d. From this moment, except in the event of force majeure, the service must be made available through ShareCRF.
e. Before the end of the trial period, the Subscriber must choose the characteristics of the service as provided above and, depending on the frequency selected, allow for the collection of the corresponding amounts by Inetsys.
f. In that event, Inetsys will send the corresponding invoices to the Subscriber. By accepting these Conditions, the Subscriber agrees to receive an invoice electronically. At any time this can be objected to by writing to xxxx@xxxxxxxx.xxx. In this case, Xxxxxxx will send you a paper invoice to the address you have indicated.

CONTRACTING PROCESS. To the Knowledge of the Company, the China JV has not, with respect to Contracts with any of its customers
(i) deviated from the model license terms as provided to it pursuant to the ARM IP License Agreement between the Company and the China JV dated April 24, 2018 (“JV IPLA”) except to the extent such deviations constitute Permitted Deviations or Licensing Exceptions (each, as defined in the JV IPLA); or (ii) deviated from the Company’s standard price book in a way which (A) materially reduces (or has reduced) the historical revenue received by the China JV or the Company from such customer, or (B) grants (or has granted) any “most favored party” rights.

Given the nature and scope of the services provided by USC under the Agreement, as well as the historic and longstanding relationship between the County and USC, the Department determined that it was not feasible to competitively bid this contract. County Counsel has advised that the portion of the MSAA related to academic services are not subject to the provisions of County Code Chapter 2.121, Contracting with Private Business (Proposition A). Furthermore, the services provided under the agreements for specialty care and pacemaker monitoring surveillance services are part-time and intermittent, and therefore, not subject to Proposition A requirements. As such, these services can be consolidated under the MSAA for LAC+USC MC, while specialty care can be consolidated under a single agreement for RLANRC.
