Contractual Commitments since the audited accounts of the Parent ----------------------- for the year ended 31st December 1996, no dividends (in cash or specie) of the Parent or any other rights or benefits have been declared, made or paid by the Parent and no member of the Restricted Group has entered into any contractual commitments of a material nature (other than (i) the Principal Agreements, (ii) for the purpose of carrying out the business of constructing, installing and operating cable television and telecommunications systems in the territories covered by the Licences or such other business as is permitted by the terms of this Agreement, (iii) contractual commitments constituting Permitted Borrowings, Permitted Disposals or Permitted Encumbrances or (iv) in relation to the Philips Transaction);
Contractual Commitments. (a) Schedule 7.19 sets forth a complete list (or refers to a list that is set forth in any other Schedule), as of the Effective Date, of each of the following (each a “Contractual Commitment”), to which Holdco or any of its Subsidiaries is a party or by which any of its or their properties or assets are bound and which remains, as of the Effective Date, executory in whole or in any part:
(i) Each partnership, joint venture, operating, management or cost sharing agreement;
(ii) Each guaranty or suretyship, indemnification or contribution agreement or performance bond;
(iii) Each instrument, agreement or other obligation evidencing or relating to any Indebtedness of Holdco or any of its Subsidiaries;
(iv) Each contract to purchase or sell real property;
(v) Each agreement with sales or commission agents, public relations or advertising agencies, accountants or attorneys (other than in connection with this Agreement and the transactions this Agreement contemplates) involving total payments within any twelve (12) month period in excess of $50,000 and which do not exceed in the aggregate $250,000, and which is not terminable without penalty and on no more than thirty (30) days’ prior notice;
(vi) Each agreement for the acquisition or provision of services, supplies, goods, equipment, inventory, fixtures or other property or assets involving more than $25,000 individually or $100,000 in the aggregate (other than services, goods, equipment, inventory, fixtures or other property or assets acquired or provided on a purchase order basis in the ordinary course of business);
(vii) Each Related Party Agreement;
(viii) Each contract containing any noncompetition agreement, covenant or undertaking or otherwise purporting to limit or restrict the business activity of Holdco or any of its Subsidiaries or Affiliates with respect to the Business, as appropriate;
(ix) Each agreement providing for the purchase from a supplier of all or substantially all the requirements of Holdco or any of its Subsidiaries of a particular product or service, involving total payments within any twelve (12) month period in excess of $25,000;
(x) Each power of attorney that is currently effective and outstanding;
(xi) Each written warranty, guaranty or similar undertaking by Holdco or any of its Subsidiaries that is material to Holdco and its Subsidiaries with respect to its products or services;
(xii) Each other Material Contract or contract or agreement with a Material Supplier (other than Mate...
Contractual Commitments. The Falcon Companies may comply with all of their contractual commitments under their existing Contracts and under any Contracts entered into after the date of this Agreement in compliance with Section 6.1(a)(2) or with Buyer's (in each case, as such Contracts may be in effect from time to time in accordance with Section 6.1(a)(2) or with Buyer's and Charter's consent). The Falcon Companies may take such actions as are contemplated by the other Sections of this Agreement and otherwise comply with their obligations under the other Sections of this Agreement.
Contractual Commitments. This Policy insures the amount The Insured is legally liable to pay under contracts for purchases unavoidably not used as a result of the Insured Damage during the Indemnity Period as a result of the Insured Damage, less any sums received or receivable by The Insured in respect of such purchases through any salvage handling operations or resale.

FVP, the General Partner and the other FrontierVision Companies may comply with all of their contractual commitments under their existing Contracts and under any Contracts entered into after the date of this Agreement in compliance with Section 6.1(a)(2) or with Buyer's consent (in each case, as such Contracts may be in effect from time to time in accordance with Section 6.1(a)(2) or with Buyer's consent). The Helicon Companies shall comply in all material respects with all of their contractual commitments under their existing Contracts and under any Contracts entered into after the date of this Agreement in compliance with Section 6.1(a)(2) or with the Charter Parties' consent (in each case, as such Contracts may be in effect from time to time in accordance with Section 6.1(a)(2) or with the Charter Parties' consent). The Helicon Companies may take such actions as are contemplated by the other Sections of this Agreement (excluding Sections 6.1(a) and (b)) and otherwise comply with their obligations under the other Sections of this Agreement (excluding Sections 6.1(a) and (b)).
Contractual Commitments. Once a Contestant wins a local or state title, she must not have authorized any person, social media platform, product, company, firm or corporation to use Contestant’s name, photograph, picture, or present or future title that the Contestant holds or may hold, in connection with an endorsement to advertise any commercial product. Contestant must not have any legal obligations that would prevent or limit her participation and appearance in a Local or State Competition or your compliance with the rules, regulations and conditions of the Miss Volunteer America organization and its Local and State Organizations.

The Renaissance Companies may comply with all of their contractual commitments under their existing Contracts and under any Contracts entered into after the date of this Agreement in compliance with Section 6.1(a)(2) or with Buyer's and Charter's consent (in each case, as such Contracts may be in effect from time to time in accordance with Section 6.1(a)(2) or with Buyer's and Charter's consent). The Renaissance Companies may take such actions as are contemplated by the other Sections of this Agreement and otherwise comply with their obligations under the other Sections of this Agreement.

Buyer acknowledges that the Companies may comply with all of their contractual commitments under their existing Contracts and under any Contracts entered into after the date of this Agreement in compliance with Section 6.1(a)(2) or with Buyer's consent (in each case, as such Contracts may be in effect from time to time in accordance with Section 6.1(a)(2) or with Buyer's consent). The Companies may take such actions as are contemplated by the other Sections of this Agreement and otherwise comply with their obligations under the other Sections of this Agreement.
