Contradictory Terms. Any provision of the Underlying Agreement or any other agreement between the Business Associate and the Covered Entity that is directly contradictory to, conflicts with or is inconsistent with one or more terms of this Agreement (“Contradictory Term”) shall be superseded by the terms of this Agreement as of the Effective Date of this Agreement.
Contradictory Terms. Any provision of the Underlying Agreement that is contradictory to one or more terms of this Agreement (“Contradictory Term”) shall be superseded by the terms of this Agreement as of the Effective Date only to the extent it is impossible to comply with both the Contradictory Term and the terms of this Agreement.
Contradictory Terms. The parties agree that any provision of any other agreement between the parties, including any other business associate agreement, regardless of when executed, which concerns the parties’ exchange of PHI and which contradicts one or more terms of this BA Agreement, or which would have the effect of diminishing a right, increasing a duty, or shortening a deadline applicable to Boston Scientific under this BA Agreement (collectively, a “Contradictory Term”), shall be superseded by the terms of this BA Agreement unless Boston Scientific expressly waives such superseding effect in a separately written agreement referencing this section.
Contradictory Terms. Any provision of the Agreement that is directly contradictory to one or more terms of this Addendum (“Contradictory Term”) shall be superseded by the terms of this Addendum as of the Effective Date of this Addendum to the extent and only to the extent of the contradiction, only for the purpose of the Covered Entity’s compliance with the HIPAA Standards, Red Flags Rules or State Standards, and only to the extent that it is reasonably impossible to comply with both the Contradictory Term and the terms of this Addendum.
Contradictory Terms. Notwithstanding any provisions on any form supplied by Company or Consultant, all purchase orders or requests for service issued pursuant to this Agreement or in connection with the Services to be provided hereunder shall be subject to and governed by the terms and conditions of this Agreement and the attachments hereto. No provision that alters, revises, or supplements the terms of this Agreement, which may appear on any purchase order, or other form provided by the parties shall have any force or effect unless such provision(s) are agreed to in writing by Company and Consultant and are expressly incorporated herein.
Contradictory Terms. This Agreement hereby amends, modifies, supplements and is made part of the Service Agreement(s), provided that any provision of the Service Agreement(s), including any exhibits and attachments, and specifically including any provisions concerning limitation of liability, that is directly contradictory to one or more terms of this Agreement (“Contradictory Term”) shall be superseded by the terms of this Agreement as of the date such terms become effective and only to the extent of the contradiction and only to the extent it is impossible to comply with both the Contradictory Term and this Agreement.
Contradictory Terms. Any provision of any underlying services agreement entered into between the parties (“Underlying Agreement”) that is directly contradictory to one or more terms of this Agreement (“Contradictory Term”) shall be superseded by the terms of this Agreement as of the Effective Date of this Agreement to the extent and only to the extent of the contradiction, only for the purpose of the Covered Entity’s compliance with the HIPAA Privacy Rule and Security Rule or ARRA and its applicable regulations and only to the extent that it is reasonably impossible to comply with both the Contradictory Term and the terms of this Agreement.

Any other provision of the Agreement that is directly contradictory to one or more terms of this BAA (“Contradictory Term”) will be superseded by the terms of this BAA to the extent and only to the extent of the contradiction, only for the purpose of Business Associate’s and Covered Entity’s compliance with HIPAA, and only to the extent reasonably impossible to comply with both the Contradictory Term and the terms of this BAA.
Contradictory Terms. Any other provision of the Service Agreement that is directly contradictory to one or more terms of this BAA (a "Contradictory Term") shall be superseded by the terms of this BAA to the extent and only to the extent of the contradiction, only for the purpose of Customer's compliance with HIPAA and HITECH, and only to the extent reasonably impossible to comply with both the Contradictory Term and the terms of this BAA.
Contradictory Terms. Any provision of an Underlying Agreement that is directly contradictory to one or more terms of this Agreement (“Contradictory Term”) shall be superceded by the terms of this Agreement as of the Effective Date of this Agreement to the extent and only to the extent of the contradiction, only for the purpose of GSHA’s compliance with the Privacy Rule and only to the extent that it is reasonably impossible to comply with both the Contradictory Term and the terms of this Agreement.
