Controlling Law; Amendment. This Agreement will be governed by and construed and enforced in accordance with the internal laws of the State of Delaware without reference to its choice of law rules. This Agreement may not be amended, modified or supplemented except by written agreement of the Parties.

This Agreement may not be amended, modified or supplemented except by written agreement of the Parties.
Controlling Law; Amendment. The Laws of the State of Delaware shall govern all issues, questions and claims concerning the consummation of the Merger and the relative rights of the Stockholders in connection thereof. All other issues, questions and claims concerning the construction, validity and interpretation of this Agreement shall be governed by and construed and enforced in accordance with the internal Laws of the State of New York, including, without limitation New York Obligations Law Sections 5-1401 (Choice of Law) and 5-1402 (Choice of Forum), applicable to contracts to be made or performed entirely therein without giving effect to the principles of conflicts of law thereof or of any other jurisdiction. This Agreement may be amended or supplemented in any and all respects only by written agreement of the Purchaser and the Stockholder Representative.

Any purported assignment of this Agreement in violation of this Section 13(f) shall be null and void ab initio.
