Cooperating Broker. If a Cooperating Broker is instrumental in securing the successful Purchaser for the Property Cooperating Broker will only be paid a fee (the “Cooperating Broker Fee”) if a separate Commission Agreement with Cooperating Broker has been executed between Seller’s Agent and Cooperating Broker. Any other fee amount, if applicable, due the Cooperating Broker above and beyond the Cooperating Broker Fee will be solely the responsibility of the undersigned Prospective Purchaser/Receiving Party. As such, Cooperating Broker acknowledges it will not be looking to the Seller’s Agent nor Owner for any compensation from any sale of the Property to the Prospective Purchaser other than the aforementioned Cooperating Broker Fee. The Prospective Purchaser/Receiving Party indemnifies and hold the Seller’s Agent and Owner harmless from any claims, liabilities, damages, or actions arising out of any claim or demand from such Cooperating Broker.
Cooperating Broker. Notwithstanding anything in this Article VIII to the contrary, in the event an outside broker other than Weitzman or a Weitzman Group broker (not assigned to the Property) representing a tenant is involved in procuring a tenant lease for the Property, Owner will pay a total leasing commission equal to one and one-half times the commission otherwise payable hereunder. In such event, Weitzman and the outside broker will share the commission according to a separate agreement. The exclusions contained in Section 8.01 shall be applied in determining any commission payable under this Section 8.05. Weitzman shall and does hereby indemnify and hold Owner harmless from: (a) any and all claims of other brokers (or real estate agents or any others) (“Cooperating Brokers”) with which Weitzman has dealt for all liabilities, costs, and expenses (including court costs and attorneys’ fees) which Owner incurs with respect to such claims and (b) valid claims by any tenant for any rebate, credit, concession, allowance or offset not set forth in any new lease or renewal or extension of any existing lease which was either procured, negotiated or solicited by Weitzman.

By signing this agreement, Buyer represents and warrants that no broker or finder has been engaged on Purchaser’s behalf in connection with the presentation of this asset except for Alterra Realty Group, Inc. By signing below, Buyer acknowledges that there is no Cooperating Broker.

Xxxxxx acknowledges and agrees that any agent, broker, or other intermediary claiming by, through or under Broker or Tenant with respect to the Lease shall be deemed a cooperating broker and shall be entitled only to such portion of the Commission as may be agreed upon between Xxxxxx and such cooperating broker, and Owner shall not have any obligation or liability to such cooperating broker. Xxxxxx hereby agrees to indemnify, defend and hold Owner harmless from all loss, cost, damage and expense (including, without limitation, reasonable attorneys' fees) incurred by Owner and arising out of or in connection with a breach of the representations, warranties and agreements made by Broker in this Agreement.

If the Cooperating Broker box at the end of this document is blank, Recipient specifically acknowledges that there is no broker representing Recipient in this potential transaction. The Recipient indemnifies and holds RE/MAX and Seller harmless from any claims, liabilities, damages, or actions arising out of any claim or demand from Cooperating Broker.
