Cooperating Brokers. The Buyer agrees that it has not engaged the services of any Broker with respect to this transaction unless such Broker has been properly registered. Buyer agrees that in the event that the Cooperating Broker Registration Form was not completed and signed by the parties 24 hours prior to the submitting of the Bidder Registration Form, then Buyer shall be solely responsible for the payment of any costs related to any claims by a Broker to compensation associated with this transaction, including reasonable attorney’s fees and costs incurred by Auctioneer or Seller defending any such claim.
Cooperating Brokers. Red Fox Realty is authorized and empowered to engage any other realtor, broker or agent under or in connection with this Agreement without the prior specific approval of Owner, and Red Fox Realty agrees to cooperate with other realtors, brokers, or agents in endeavoring to obtain offers for the lease of the Property. Notwithstanding the involvement of a realtor, broker or agent cooperating with or claiming under Red Fox Realty (a “Cooperating Broker”), the amount of the Commission provided to be paid hereunder by Owner shall constitute the entire amount which, in the absence of an express written agreement of Owner to the contrary, Owner shall be obligated to pay to Red Fox Realty and Owner shall have no obligation or liability for the payment of any commission or fee to any Cooperating Broker, any such commission or fee being the sole obligation and liability of Red Fox Realty. Owner shall not enter into any agreement for the payment of a commission to a Cooperating Broker (for which Red Fox Realty would be responsible) without the prior written consent of Red Fox Realty.
Cooperating Brokers. Seller authorizes Broker to enter into agreements with other yacht brokers (“cooperating brokers”) under which Broker will share a portion of the commission in exchange for their assistance in procuring buyers for the Vessel. Seller agrees to cooperate with such other brokers to achieve the purposes of this Agreement.

Cooperating Brokers. Owner authorizes Xxxxxx to cooperate with and use the services of Cooperating Brokers and their sales associates from time to time. Broker may share a portion of the Fee with Cooperating Brokers, including Cooperating Brokers who may be acting as agents for Prospects. Owner shall pay the full amount of the Fee to Broker, and Xxxxxx may divide the Fee with Cooperating Brokers in proportions determined by Broker.
Cooperating Brokers. (a) Leasing Agent xxxxxx agrees to distribute listings for initial occupancy to reputable and active real estate bro- kers (“cooperating brokers”) within a reasonably effective area of the Building pursuant to Section 2(c) of this Agreement, to supply the cooperating brokers with information sufficient to enable them to assist in the Leasing and to reasonably cooperate with them on any matter that will aid in the Leasing. Leasing Agent shall pay any and all commissions or other amounts that may become due to licensed cooperating brokers (except those deal- ing directly with Owner). Such payments shall be paid to a cooperating broker in connection with any Lease promptly after Leasing Agent receives payment from Owner on account of the commission due to Leasing Agent for such Lease. Leasing Agent shall cause each cooperating broker to agree in writing that such cooperat- ing broker will not look to the Building or Owner but will look solely to Leasing Agent for the payment of any commission.
(b) Owner shall have no obligation to any broker or brokers cooperating with Leasing Agent (except those dealing directly with Owner), and (except for claims made by a cooperating broker or brokers dealing directly with Owner) Leasing Agent shall indemnify and hold harmless Owner from and against any and all claims for com- missions or fees for services rendered or reimbursements for expenses incurred by a cooperating broker or bro- kers. Notwithstanding anything to the contrary herein contained, (i) Leasing Agent’s obligations under this Sec- tion 5(b) in respect of any Lease are conditioned upon Owner’s paying to Leasing Agent the commission due to Leasing Agent in respect of such Lease, and (ii) in the event that Owner does not pay to Leasing Agent the Co- operating Commission, as such term is defined in Exhibit A hereto, due in connection with any Lease, Leasing Agent shall be relieved of its indemnity obligations under the immediately preceding sentence to the extent of such non-payment. If any cooperating broker institutes any claims, demands, suits or legal proceedings against Owner which is covered by the foregoing indemnity, Leasing Agent shall assume the defense thereof at its own cost and expense; and Owner and Leasing Agent shall each have the right to participate in such defense with its own counsel. The provisions of this Section 5(b) shall survive termination of this Agreement.
Cooperating Brokers. Independent Contractor may work with cooperating brokers to lease space in the Project. Agreements with cooperating brokers containing commissions that vary from the fee schedule in Section 2.3 above are subject to Owner’s prior written approval. All commission payments, whether to Independent Contractor or to Cooperating Broker shall be made by check, payable directly to the Independent Contractor and Cooperating Broker, by Owner or its Property Manager.
