Cooperation with Regulators. As directed by Voya, BNY Mellon shall work with those Governmental Authorities that regulate Voya in an open and cooperative way, including by: (1) meeting with such Governmental Authorities; (2) coordinating with Voya to provide to representatives or appointees of such Governmental Authorities materials, records and information relating to the Services or allowing such representatives or appointees access to such materials, records and information relating to the Services and providing such facilities as such representatives or appointees may reasonably require; and (3) permitting representatives or appointees of such Governmental Authorities to have access on demand to its premises to the extent relating to the Services.
Cooperation with Regulators. DST shall promptly cooperate with the Trust and any of the Trust affiliates’ regulators at DST’s expense (only if DST is determined to be responsible for a Security Incident) to prevent, investigate, cease, Remediate, or Mitigate any Security Incident, including, but not limited to, investigating, bringing claims or actions, and giving information and testimony.
Cooperation with Regulators. As directed by HPI and subject to HPES’ obligations under Section 20.1(B)(3), HPES will work in an open and cooperative way with Governmental Authorities that regulate HPI, including by: (A) meeting with such Governmental Authorities; (B) coordinating with HPI to provide to representatives or appointees of such Governmental Authorities any materials, records and information relating to the Services or allowing any such representatives or appointees access to such materials, records and information relating to the Services and providing such facilities as such representatives or appointees may reasonably require; and (C) permitting representatives or appointees of such Governmental Authorities to have access to any of its premises to the extent related to the Services, as required by such representatives or appointees.
Cooperation with Regulators. At Customer’s sole cost and expense, Revvity and its representatives shall cooperate, upon request from Customer, with any and all requests from data protection authorities and regulators having jurisdiction over Customer, including those with jurisdiction to monitor and ensure compliance with applicable Data Protection Laws.
Cooperation with Regulators. As directed by NAIC Group, Cognizant Group shall work with those Governmental Authorities that regulate NAIC Group in an open and co-operative way, including: (1) meeting with such Governmental Authorities; (2) coordinating with NAIC Group to provide to representatives or appointees of such Governmental Authorities any applicable materials, records and information relating to the Services or allowing any such representatives or appointees access to such materials, records and information relating to the Services and providing such facilities as such representatives or appointees may reasonably require; and (3) permitting representatives or appointees of such Governmental Authorities to have access on demand to any of its premises to the extent relating to the Services.
Cooperation with Regulators. As reasonably directed by Voya Group, Supplier shall work with those Governmental Authorities that regulate Voya Group in an open and co-operative way, including: (1) meeting with such Governmental Authorities; (2) coordinating with Voya Group to provide to representatives or appointees of such Governmental Authorities any applicable materials, records and information relating to the Services or allowing any such representatives or appointees access to such materials, records and information relating to the Services and providing such facilities as such representatives or appointees may reasonably require; and (3) permitting representatives or appointees of such Governmental Authorities to have access on demand to any of its premises to the extent relating to the Services.
Cooperation with Regulators. TokenEx shall provide reasonable cooperation to Customer by providing service-specific information requested by Customer’s regulators or any of Customer’s Customers concerning the relationship between the parties, and by making any modifications to the services and/or these ToS required by such regulators. In the event that TokenEx determines that such modifications are impracticable or uneconomical, TokenEx shall have the right to terminate these ToS, subject to TokenEx’s Termination Assistance program, described hereinafter.
Cooperation with Regulators. 25.1 TokenEx shall provide reasonable cooperation to Customer by providing service-specific information requested by Customer’s regulators concerning the relationship between the parties, and by making any modifications to the Services and/or this Agreement required by such regulators. Such modification may result in additional cost to Customer and an amendment to this Agreement may be necessary.
25.2 Notwithstanding anything to the contrary in this Agreement, if the continued provision of all or any portion of the Services becomes impossible, impractical, or undesirable due to a change in applicable federal, state or local laws or regulations, as determined by TokenEx in its reasonable judgment, or due to circumstances imposed by XxxxxXx third party vendors or data sources, or due to a change in TokenEx policies relating to compliance with law and/or data security, TokenEx may either: (i) cease to provide the affected Services within, or pertaining to persons residing within, the affected jurisdiction, or (ii) establish new prices which will apply to the affected Services when provided or delivered within, or pertaining to persons residing within, the affected jurisdiction, which prices will be reasonably calculated to cover the costs incurred by TokenEx in complying with the applicable laws or regulations or circumstances imposed by third party vendors and will become effective on the date specified in such notice unless Customer objects in writing, in which case TokenEx may exercise its rights under clause (i) above. TokenEx will attempt to provide written notice of its actions as far in advance of the effective date as is reasonably possible under the circumstances. Termination of this Agreement pursuant to this section is not a termination for cause and termination under this section by TokenEx is subject to continuation of Services as more particularly described in the termination section of this Agreement.

As directed by LS&Co., Supplier shall work with those Governmental Authorities that regulate LS&Co. in an open and co-operative way, including: (a) meeting with such Governmental Authorities; (b) coordinating with LS&Co. to provide to representatives or appointees of such Governmental Authorities any applicable materials, records and information relating to the Services or allowing any such representatives or appointees access to such materials, records and information relating to the Services and providing such facilities as such representatives or appointees may reasonably require; and (c) permitting representatives or appointees of such Governmental Authorities to have access on demand to any of its premises to the extent relating to the Services.
Cooperation with Regulators. At Customer’s sole cost and expense, Wasabi and its representatives shall cooperate, upon request from Customer, with any and all requests from data protection authorities and regulators having jurisdiction over Customer, including those with jurisdiction to monitor and ensure compliance with applicable Data Protection Laws.
