Cooperation with Syndication Sample Clauses

Cooperation with Syndication. Each Noteholder and (if applicable) each of such Noteholder’s principals, officers and representatives, shall, at Administrative Agent’s request, reasonably cooperate with the Originating Lender’s and/or Administrative Agent’s efforts to syndicate, assign, participate or otherwise Transfer of all or any portion of the Notes or interests therein, including, without limitation, entering into any amendments to this Agreement reasonably necessary and consenting to amendments to the Loan Documents to effect the same, provided, that, no Noteholder shall have any obligation to perform any action described under this Section 3.6 that (i) contravenes any provision of the Loan Documents, or (ii) increases the liabilities or obligations of such Noteholder or decreases any right of such Noteholder more than to a de minimis extent.

Cooperation with Syndication. Borrower acknowledges that Lead Arrangers intend to syndicate a portion of the Commitments to one or more Lenders (the “Syndication”) and in connection therewith, ▇▇▇▇▇▇▇▇ will take all actions as Lead Arrangers and ▇▇▇▇▇ Fargo Bank, N.A. may reasonably request to assist Lead Arrangers and ▇▇▇▇▇ Fargo Bank, N.A. in their Syndication effort. Without limiting the generality of the foregoing, Borrower shall, as reasonably requested by the Lead Arrangers and ▇▇▇▇▇ Fargo Bank, N.A. (at no cost or expense to Borrower other than as set forth in Section 12.5 and ▇▇▇▇▇▇▇▇’s own costs and expenses), (i) facilitate the review of the Loan and the Project by any prospective Lender; (ii) assist Lead Arrangers and ▇▇▇▇▇ Fargo Bank, N.A. and otherwise cooperate with Lead Arrangers and ▇▇▇▇▇ Fargo Bank, N.A. in the preparation of information offering materials (which assistance may include reviewing and commenting on drafts of such information materials and drafting portions thereof); (iii) deliver updated information on Borrower and the Project; (iv) make representatives of Borrower available to meet with prospective Lenders at tours of the Project and bank meetings; (v) facilitate direct contact between the senior management and advisors of Borrower and any prospective Lender; and (vi) provide Lead Arrangers and ▇▇▇▇▇ Fargo Bank, N. A. with all information reasonably deemed necessary by them to complete the Syndication successfully. ▇▇▇▇▇▇▇▇ agrees to take such further action, in connection with documents and amendments to the Loan Documents, as may reasonably be required to effect such Syndication, provided that the same shall not result in any increase in Borrower’s liabilities or obligations, or any decrease in Borrower’s rights, under this Agreement and the other Loan Documents.

Cooperation with Syndication. Each Borrower shall use good faith efforts, and will cause its Subsidiaries to use good faith efforts, to coordinate with the Syndication Agent to minimize the disruption and assist with the initial post-Closing Date syndication of the Loans, if any.

Cooperation with Syndication. The Borrower acknowledges that the Administrative Agent, on behalf of the Lenders, may elect to syndicate a portion of the Loan to one or more lenders (hereinafter referred to as the “Syndication”) and in connection therewith, the Borrower will take all actions as the Administrative Agent, on behalf of the Lenders, may reasonably request to assist the Administrative Agent and the Lenders in the Syndication effort.

Cooperation with Syndication. Borrowers acknowledge that Arrangers intend to syndicate a portion of the Commitments to one or more Lenders (the “Syndication”) and in connection therewith, each Borrower Party will take all actions as Arrangers may reasonably request to assist Arrangers in such Syndication effort. Without limiting the generality of the foregoing, each Borrower Party shall, at the request of Arrangers (i) reasonably facilitate the review of the Loan and each Individual Property by any prospective Lender; (ii) assist Arrangers and otherwise cooperate with Arrangers in the preparation of information offering materials (which assistance may include reviewing and commenting on drafts of such information materials and drafting portions thereof); (iii) deliver updated information on such Borrower Party and each Individual Property; (iv) on reasonable prior notice, make representatives of such Borrower Party available to meet with prospective Lenders at tours of each Individual Property and bank meetings; (v) facilitate direct contact between the senior management and advisors of such Borrower Party and any prospective Lender; and (vi) provide Arrangers with all information reasonably deemed necessary by them to complete the Syndication successfully. Each Borrower Party agrees to take such further action, in connection with documents and amendments to the Loan Documents, as may reasonably be required to effect such Syndication.

Cooperation with Syndication. Borrower acknowledges that Administrative Agent intends to syndicate a portion of the Commitments to one or more Lenders (the “Syndication”) and in connection therewith, Borrower (at no cost to Borrower) shall take all actions as Administrative Agent may reasonably request to assist Administrative Agent in its Syndication effort. Without limiting the generality of the foregoing, Borrower shall, at the request of Administrative Agent (at no cost to Borrower) (i) facilitate the review of the Loans, the Property and the other collateral for the Loans by any prospective Lender; (ii) assist Administrative Agent and otherwise cooperate with Administrative Agent in the preparation of information offering materials (which assistance may include (but may not be relied upon) reviewing and commenting on drafts of such information materials); (iii) deliver updated reasonable information on Borrower, Guarantor, the Property and the other collateral for the Loan; (iv) make representatives of Borrower available (at mutually convenient dates and times) to meet with prospective Lenders at tours of the Property and bank meetings; (v) facilitate direct contact between the senior management and advisors of Borrower and any prospective Lender; (vi) [intentionally omitted]; and (vii) provide Administrative Agent with all information deemed reasonably necessary by it to complete the Syndication successfully. Borrower agrees to take such further reasonable action, in connection with documents and amendments to the Loan Documents, as may reasonably be required to effect such Syndication but in no event shall any changes increase Borrower’s or Guarantor’s or their Affiliates’ obligations or decrease Borrower’s or Guarantor’s or their Affiliates’ rights under the Loan Documents. Administrative Agent shall pay all costs of Borrower in connection with Borrower’s cooperation pursuant to this Section 11.24; provided that if an Event of Default has occurred and is continuing, Borrower shall pay all such costs.

Without limiting the generality of the foregoing, Borrower shall, at the request of Administrative Agent (i) facilitate the review of the Loans, the Property and the other collateral for the Loans by any prospective Lender; (ii) assist Administrative Agent and otherwise cooperate with Administrative Agent in the preparation of information offering materials (which assistance may include reviewing and commenting on drafts of such information materials and drafting portions thereof); (iii) deliver updated information on Borrower, Guarantor, the Property and the other collateral for the Loans; (iv) make representatives of Borrower available to meet with prospective Lenders at tours of the Property and bank meetings; (v) facilitate direct contact between the senior management and advisors of Borrower and any prospective Lender; (vi) use its best efforts to ensure that the Syndication efforts of Administrative Agent benefit materially from its existing banking relationships; and (vii) provide Administrative Agent with all information reasonably deemed necessary by it to complete the Syndication successfully. B▇▇▇▇▇▇▇ agrees to take such further reasonable action, in connection with documents and amendments to the Loan Documents, as may reasonably be required to effect such Syndication.

Cooperation with Syndication. This Agreement shall be subject to the provisions of Section 12.27 of the Project Loan Agreement with respect to usury laws, which section is hereby incorporated herein by reference.
