Coordination With Other Agreements. The Executive, the Company and Related ---------------------------------- Entities may be parties to other agreements, policies, plans, programs or arrangements relating to Executive's employment. The Executive and the Company agree that this Agreement shall be construed and interpreted so that amounts are paid and benefits are provided under this Agreement only if and to the extent that similar amounts and benefits are not paid and provided under any other similar agreements, policies, plans, programs or arrangements. Without limiting the foregoing, the Company and the Executive agree that any amounts payable or benefits provided under subsections 4(a) through 4(g) of this Agreement shall be reduced by any similar amounts or benefits that Executive receives under any employment or employment-related agreement between the Executive and the Company or any Related Entity and any other similar agreements, policies, plans, programs or arrangements between the Executive and the Company or Related Entities and by the present value (determined as provided in Section 280G(d)(4) of the Code) of any other amount of severance relating to salary or bonus continuation to which Executive may be entitled under any other severance plan, policy or arrangement of the Company or any Related Entity; it being the intent of both Executive and the Company and Related Entities not to provide to Executive any duplicative payments or benefits hereunder.
Coordination With Other Agreements. To the extent that the Optionee is a party to any agreement with the Company that contains covenants the same as or similar to those set forth in this Agreement (hereinafter referred to as the “Other Agreement”), the Optionee and the Company expressly agree that any remedy available to the Company under this Agreement is in addition to, and does not limit the enforceability of, any remedy available to the Company under such Other Agreement.
Coordination With Other Agreements. This document, together with the 2020 SpartanNash Stock Incentive Plan and any award letter issued thereunder, sets forth the entire agreement between you and SpartanNash with respect to its subject matter, and merges and supersedes all prior discussions, negotiations, representations, proposals, agreements and understandings of every kind and nature between you and SpartanNash with respect to its subject matter; except that, this Agreement does not impair, diminish, restrict or waive any other restrictive covenant, nondisclosure obligation or confidentiality obligation you have to SpartanNash under any other agreement, policy, plan or program of SpartanNash, all of which remain in effect and constitute separate, enforceable obligations. You and SpartanNash represent that, in executing this Agreement, you and SpartanNash have not relied upon any representations or statements made, other than those set forth in this document, with regard to the subject matter, basis or effect of this Agreement.
Coordination With Other Agreements. The Severance Benefits described in Section 4.3 shall be reduced by any severance benefits paid pursuant to either: (i) other agreements between the Company and the Executive or (ii) any plan adopted by the Company, unless such plan or agreement expressly provides that the benefits under such plan or agreement are in addition to the benefits payable under this Agreement.
Coordination With Other Agreements. The Parties agree that this Agreement shall take precedence over any and all agreements among the Parties with respect to Tax matters, including indemnification in respect of Tax matters; provided, however, this Agreement shall not take precedence over any Tax matter relating to the payment or reimbursement of Taxes that exists now or in the future under any lease of property between Ensign and SpinCo, or any of their respective Affiliates, as the case may be, and any such Taxes shall be governed exclusively by such leases without regard to this Agreement.
Coordination With Other Agreements. If there is any conflict between this Agreement and any of the other Elm Road Documents, this Agreement and the Elm Road Document(s) shall be interpreted and construed, if possible, so as to avoid or minimize such conflict.

Nothing in this Agreement will limit the covenants, representations or warranties, or indemnification obligations of the parties with respect to Income Tax related matters in the Master Separation Agreement or the Initial Pubic Offering and Distribution Agreement.
Coordination With Other Agreements. If there is any conflict between this Agreement and any of the other Elm Road 2 Documents, this Agreement and the Elm Road 2 Document(s) shall be interpreted and construed, if possible, so as to avoid or minimize such conflict. Notwithstanding anything else to the contrary in this Agreement, the Operating Agent shall not be required to administer the provisions of any Project Agreement to the extent that doing so would cause it to violate an express provision of the WEPCO Facility Lease.
Coordination With Other Agreements. (a) Except as specifically provided herein or in the Tax Matters Agreement, this Agreement shall not apply to Taxes (which are covered by the Tax Matters Agreement). In the case of any conflict between this Agreement and the Tax Matters Agreement in relation to any matter addressed in the Tax Matters Agreement, the Tax Matters Agreement shall prevail.
