Coordination with Plan. All of the terms, conditions and other provisions of the 1995 Plan are hereby incorporated by reference into this Agreement. Capitalized terms used in this Agreement but not defined herein shall have the same meanings as in the 1995 Plan. If there is any conflict between the provisions of this Agreement and the provisions of the 1995 Plan, the provisions of the 1995 Plan shall govern. Director acknowledges receipt of a copy of the 1995 Plan and hereby agrees to be bound by the 1995 Plan (as presently in effect or hereafter amended) and this Agreement, and by all decisions and determinations of the Compensation and Human Resources Committee of the Board of Directors (including any delegatee) (the “Committee”) thereunder.

Coordination with Plan. Terms used herein that are defined in the Plan shall have the meanings ascribed to them in the Plan. If there is any inconsistency between the terms of this Award Agreement and the terms of the Plan, the Plan’s terms shall supersede and replace the conflicting terms herein.

The Participant acknowledges that he has previously received a copy of the Plan and agrees to be bound by all of the terms and provisions thereof, including any which may conflict with those contained in this Agreement. Coordination with Plan. The responsibilities of the Trustee shall be governed solely by the terms of this Trust Agreement. The Trustee shall discharge its duties and responsibilities in accordance with its rules and procedures. Alliant shall discharge its responsibilities and duties under the Trust Agreement in accordance with the Trust Agreement and shall have the exclusive authority, which may not be delegated, to:

Coordination with Plan. The Award evidenced by this Award Agreement is subject to all of the terms and conditions set forth in this Award Agreement and in the Plan. If a determination is made that any of the terms or conditions in this Award Certificate is inconsistent with the Plan, the Plan will control. All of the capitalized terms not otherwise defined in this Award Agreement will have the same meaning in this Award Agreement as in the Plan. A copy of the Plan, as the same may be amended from time to time, will be available to the Key Employee upon written request to the Corporate Secretary of CPI.
