Copies of Certain Documents. The Company has heretofore made available to the Parent true and complete copies of: (i) all agreements entered into by the Company or any Company Subsidiary, if any, providing for the acquisition or disposition of businesses or product or service lines since January 1, 1998; and (ii) a complete list of all investments of the Company and the Company Subsidiaries, if any, in marketable or other securities (whether debt or equity) for investments made in the twelve (12) months prior to the date hereof.

The stock record books of NaviCyte reflect accurately all transactions in its capital stock.

Copies of Certain Documents. Company has heretofore delivered to Buyer full and complete copies of: (a) all agreements entered into by Company, if any, providing for the acquisition or disposition of businesses or product lines; (b) all federal and other tax returns filed by Company and, to the extent such returns relate to the properties, assets or operations of Company, by any Shareholder, for the years ended November 28, 1998, November 29, 1997 and November 30, 1996; and (c) a complete list of all investments of Company, if any, in marketable or other securities (whether debt or equity).

Copies of Certain Documents. The Company will, on or prior to the date hereof, deliver to each Agent and also, on request, to Counsel for the Agents: (i) a copy of the Registration Statement as originally filed and of each amendment thereto, each signed by or on behalf of the proper officers of the Company and a majority of its Board of Directors, including a signed copy of each consent, opinion and certificate included therein or filed as an exhibit thereto, and also including the exhibits to, and the documents incorporated by reference in, such Registration Statement and amendments thereto (other than such exhibits as are incorporated in the Registration Statement by reference, unless specifically requested), and, so long as this Agreement remains in effect, as soon as possible after each supplement or amendment to the Prospectus has been filed with the Commission, as many copies of the Prospectus, then current, and any documents incorporated by reference therein, as the Agents may 18 reasonably request for the purposes contemplated by the Securities Act; and (ii) such other documents (including copies of the Registration Statement and of any amendments thereto, in each case including documents incorporated therein by reference but excluding exhibits) appropriately signed or certified if so requested, relating to the issuance and validity of the Notes as any Agent or Counsel for the Agents may reasonably request.

Copies of Certain Documents. For each Company Plan, to the extent applicable to each such Company Plan, true and complete copies of the following have been delivered to Buyer: (A) the documents embodying the Company Plans, including, but not limited to, the plan documents, all amendments thereto and the related trust or funding agreements, and, in the case of any unwritten Company Plans, written descriptions thereof; (B) annual reports including without limitation Forms 5500 and all schedules thereto for the last three years; (C) financial statements for the last three years; (D) actuarial reports, if applicable, for the last three years; and (E) each communication to employees regarding changes or amendments to the Company Plans not yet made to such Company Plan. The Company has also furnished to Buyer a copy of the current summary plan description and each summary of material modification prepared in the last three years for each Company Plan, and all employee manuals, handbooks, policy statements and other written materials given to employees relating to any Company Plans. No oral or written representations or commitments inconsistent with such written materials have been made to any employee of the Company by any employee or agent of the Company.

Copies of Certain Documents. The Grantee shall provide to the Office at least 90 days before the start of a school year (1) copies of its lease or deed for the premises in which the Charter School shall operate and (2) copies of certificates of occupancy and safety which are required by law for the operation of a public school in the State of Wisconsin. The Chancellor or designee reserves the right to review and approve the sufficiency of such documents.
